| 摘 要： | 股东将其财产投资于有限责任公司后,股东既不能直接支配该财产也不能以退股的方式要求公司返还该财产。有限责任公司股权转让受到限制的理论基础在于其能够维护公司人合性、平衡转让股东与剩余股东利益以及实现意思自治。

| Abstract: | After investing the property in in a limited liability company,the shareholders can neither direct control of the property can not be a way to require the company to return the divestment of the property.Limited liability company share transfer restrictions on the theoretical basis of its ability to maintain the company of people together,balance the transfer of the interests of shareholders and the remaining shareholders and to achieve autonomy. |
