浅谈我国证券市场法律制度的完善

我国的证券市场颇具前景,然而现实的、潜在的问题也不容忽视。通过对我国证券市场法制缺陷的分析可知,法制的完善至关重要。只有通过《公司法》、《证券法》等相关法律的完善,规范公司的法人治理,完善独立董事制度,全面引进股东诉讼特别是派生诉讼,完善证券民事责任制度及司法制度,切实保证投资者的利益,才能真正建立一个公平有效的证券市场。

On the Perfecting of Law System of Securities Market

The securities market of China has a good future.However,its practical and potential problems should not be ignored.When we analyze the limitation of law system of securities market,perfecting the law system is very important.To build a fair and effective securities market,we must perfect"law of corporation"and "law of securities"and relevant laws.We should regulate the management structure of the corporation,improve the independent director system,fetch in stockholder lawsuit roundly,especially the deriving lawsuit,and standardize the securities civil duty and justice system as well as really protect the advantage of investors.
