| 摘 要： | 本文通过对三种公司资本制度的分析 ,认为我国现阶段实行的严格的法定资本制有其局限性 ,有必要改革。授权资本制不适合我国现实国情 ,不宜采用。而认可资本制是当代公司资本制度的发展趋势 ,在我国有其存在的经济基础、法治基础 ,应当是我国公司资本制度的最佳选择。

| Abstract: | Through analyzing the three sorts of corporation capital systems , the author considers that the strict legal capital system has its own limitation and should be reformed . Authorized capital system is not suitable for the realistic situation of China , it is inadvisable for adoption. The admissive capital system that is the trend of the development of the contemporary corporation capital system , already has based on the corresponding economic and legal condition in China therefore, it should be the best choice of corporation capital system of China . |
