我国商事登记立法的改革与完善

商事登记又可称为商业登记,商事登记法系规定一般商事登记之法律,可分为形式意义之商事登记法与实质意义之商事登记法。前者属于狭义的商事登记法;后者属于广义的商事登记法。如果从广义角度看,我国已建立起数目繁多的商事登记具体法律制度,但其中存在的诸多问题亦将成为增强我国商事主体国际竞争力、推动我国市场经济深入发展的桎梏。

On the Reform and Improvement of Legislation of Chinese Commercial Registration

The legislation of commercial registration lays down general laws regulating commercial registration. It could be classified as commercial registration law in it formal sense and that in its substantial sense. While the former is the law of commercial registration in the narrow sense,the latter refers to the law in the broad sense. If we take the view from the latter, numerous concrete laws and regulations concerning the commercial registration have already been set up in China. However, a number of problems existing in this area will become the future obstacles in the strengthening of international competitive force of Chinese commercial subject and in the promoting of the further development of Chinese market economy.
