大股东股权滥用及对策

The abuse of big stockholder's power is the product of the development of the corporation system to some degrees.In the proprietary corporation,other stockholders have few restrictions on those proprietary stockholders so that it is possible for the big stockholders to abuse their powers.The abuse of power mainly embodies in the following,such as fraud in the issue of the stocks,the transfer of interests in the connective trade,the one in stock assignation,the one in allocation of profits,the manipulation made by the big stockholders,and the one in mergers and anti-mergers,etc.Therefore the abuse of stockholder's power should be regulated in two aspects,i.e.,the internal system of the corporation and the external system of the corporation.
