论中国公司法与证券法的协同完善与制度创新--以公司治理为研究视角

公司法和证券法均为市场经济法律体系的重要组成部分，其完备程度直接决定了法律对市场经济关系的调整力度和调整效果。鉴于公司法与证券法在调整对象上的密切关联性，立法宗旨上的高度一致性，具体内容上的相互渗透性，因此只有将证券法的修改与公司法的修改同步进行，才能实现制度关系上的无缝衔接。公司法和证券法的修改应以完善公司治理为切入点，正确处理公司的营利性与公司社会责任之间的关系，进一步完善公司资本制度，协调公司设立制度与股票发行制度，重构公司经理制度，以最大限度地发挥公司对社会经济关系的正向调整效用。

On the Collaborative Perfection and Systematic Innovation of Chinese Company Law and Securities Law --From the Angle of Corporate Governance

Company law and securities law are an important part of the law system of the market economy, with its complete degree directly determining the legal adjustment dynamics and the effect of market economic rela tions. Given the close connection of the company law and the securities law in regulating object, the high con sistency on the legislative purpose, the mutual permeability on the specific content, the securities law and com pany law have to be amended simultaneously to achieve the seamless links between the system relations. The a mendment of the company law and securities law should take the corporate governance as the breakthrough point, and then properly handle the relationship between the profitability and social responsibility of the compa ny, further perfect the capital system, coordinate the establishing system and stock issuing system, reconstruct manager system, so as to bring the positive adjusting function of the company to the social economic relations into greatest play.
