美国外资并购安全审查制度的最新发展及其借鉴

通过2007年对《外国投资和国家安全法》和2008年对《外国人合并、收购和接管条例》的修订，美国在外资并购安全审查方面进一步扩大了审查范围，完善了审查机构设置，强调了各机构之间的权力制衡，继续保持了实体标准掌握上的灵活度与自由裁量权，在审查程序上以自愿申报与强制审查相结合，在再审查方面以“常青条款”替代“安全港规则”。我国已确定了由商务部牵头的部际联席会议负责外国投资者并购境内企业安全审查的基本模式，在相关实施细则的制订过程之中，可对美国的经验加以借鉴。
