公司治理中的“多数派暴政”问题

团体内的多数原则内生着“多数派暴政”问题 ,这直接威胁着基本人权和多数统治本身。作为团体的公司亦概莫能外 ,克服公司中的“多数派暴政”问题 ,必须立足于公司自治 ,借助合同法理通过确立控制股东对少数股东的信义义务 ,赋予少数股东评价补救权等对应性权利 ,建立“有限多数原则”。

Majority's Despotic Control in Company Governance

Majority's despotic control will derive from majority principle in groups. This will directly threaten to human rights and to the majority's rule itself.
