| 摘 要： | 公司作为现代社会经济生活的最主要的主体,充当着无可替代的重要角色.而公司作为组织体,其不具有像自然人一样的自由表达意志的能力.公司与其他主体进行民事交往必须借助公司代表机关的行为.本文从公司代表机关的概念、性质出发,试图还公司代表机关以本来面目;进一步界定了公司代表机关的范围和如何进行公司代表机关的选定.最后对我国的公司代表机关制度进行评析并提出自己的几点建议.

| Abstract: | Companies play a key role in the mordern society.As a organization,a company has no ability to express its will freely in the same way that a person could.Companies do business with other entities with the aid of their representatives.The author in the thesis,analyzing the concept,nature of the representative of company,tries to reveal it in its true colours.Lastly,the author puts forwards some proposals for perfecting the system of the representative of company in China. |
