| 摘 要： | 利用未公开信息交易罪具备自己独立的构成特征，与内幕交易、泄露内幕信息及背信等犯罪相似，但并不完全相同。利用未公开信息交易罪与职务侵占罪和非法经营同类营业罪及操纵证券、期货市场罪也有根本区别，其实质是一种基金工作人员利用职务上的便利知悉即将用客户资金投资购买证券的商业秘密而从事的违法交易行为。
