| 摘 要： | 有限责任公司股权转让可能影响公司的人合性,公司股东可以根据自身的需要通过公司章程对股权转让作出另外规定,但必须兼顾转让股东的利益,确保转让股东以公正合理的价格转让其公司的股权.有限责任公司股东可以通过公司章程对股权内部转让进行限制,股权内部转让还须受公司法关于"一人公司"设立规定的限制.股权外部转让制度的股东同意权和优先购买权都是为了维护有限责任公司的人合性,但由于同意权没有起到实质上的作用,可以考虑取消股东同意权完善股东优先购买权.
