| 摘 要： | 公司股东借助中介人、垫资人而虚报注册资本、虚假出资的，中介人、垫资人与股东在虚报注册资本罪上构成共同犯罪。但此类案件的取证难，导致在司法实践中追究中介人、垫资人刑事责任的困难。若能证明垫资人对资金的持续控制权，否定垫资人和中介人之间合法借贷关系的诡辩，就可以证明垫资人与中介人的共同犯罪故意，从而追究他们虚报注册资本的刑事责任。

| Abstract: | When the shareholders, along with the mediator and advancer falsely registered capital, their behavior has formed complicity. Because of difficulties in gathering evidence, in practice, it is difficult to investigate their criminal responsibility. However, if the advancer's continued control of the capital can be found, and their secretive relation can be denied, then the complicity can be proved, and their criminal responsibility can also be investigated. |
