| 摘 要： | 企业管理和公司治理是两个层面的概念,从理论上讲由管理到治理是公司由封闭型发展到开放型的必然结果。企业管理与公司治理在职能上有所区分,但在涉及公司目标的战略管理和决策管理上是相通的。因此,在国企改制中必须两者兼顾。

| Abstract: | Enterprise management and company administration are of two different concepts; theoretically, the turning of management into administration is the necessary result of the company developing from the close type to opening type. Enterprise management differenciates company administration in the function, but they are consistent in the strategical and decisive management concerniny the company objects. Therefore, they both must be considerated at the same time in the system reform of the state-owned enterprises. |
