| 摘 要： | 公司治理是公司长期发展的产物,它受一国的非正式制度和正式制度的影响。通过以美国、日本为例对公司治理的制度比较分析,说明文化传统、价值观、市场模式、要素市场的发展水平、法律政策等在公司治理模式演进过程中具有影响作用,从而对东北老工业基地国有企业改造与调整、公司治理都具有一定的启示意义。

| Abstract: | It is the outcome that the company develops over a long period of time that corporate governance,which is subjected to the midland influence of the informal system and formal system.Comparison and analysis to corporate governance of the United States and Japan,the main influence to the corporate governance are the culture,value,market mode,the development level and the law policy etc..It is the certain apocalypse meaning to the state-owned enterprise reform and the corporate governance of the Northeast Old Industry Base. |
