Miscellaneous amendments--HHS. Final rule

This final rule will remove appendixes I and J, which contain the test of Office Management and Budget (OMB) Circulars A-128 and A-133, from 45 CFR part 74. It will also update several items to conform them to the Federal Acquisition Streamlining Act of 1994 and correct a confusing statement which resulted from two typographical errors in that portion of OMB Circular A-110 upon which this statement is based.

The Office of the Secretary, Department of Health and Human Services is amending its procurement regulations by revising and updating the general provisions for use in fixed price and cost-reimbursement type contracts (HHS-314,-315,-315A, and-316) and related miscellaneous amendments. The revisions will result in the consolidation of all additions, removals and revisions to the general provisions. The effect of the amendment will be the updating of the Department's general provisions.

股东会、董事会职权的兜底条款质疑

规定股东会职权的《公司法》第38条和规定董事会职权的第47条分别有一个概括性的规定：“公司章程规定的其他职权”,这种条款一般被称为兜底条款。这是2005年公司法修改的时候新增加的条款,立法者试图通过强化章程自治解决股东会和董事会职权规定不清的问题。然而,事与愿违,兜底条款不能全部实现立法的目的,甚至还由此产生了新的问题,即在章程没有规定时,无法判断有些事项究竞是股东会的职权还是董事会的职权。同时在股东会职权规定条款和董事会职权规定条款增加兜底条款实际上是不了解股东会和董事会功能定位所致,因此需要先对兜底条款作无害化解释,在下次公司法修改时删除。

清代乾隆年间徐燨创作的《写心杂剧》,在杂剧史上是一部具有"范式"意义的作品.其体制形态上由"代人立言"到"自我登场"的转变,改变了以往杂剧创作追求"自喻"的表达方式.通过自我抒情言志和高扬主体精神的"写心"作法、因自传性艺术演述凸显出来的特殊意味,以及与晚明小品灵动自然、清新隽永之艺术格调的同构对应等,都充分显示出《写心杂剧》既徘徊于雅俗之间,同时又为普通文人提供了特殊的话语空间的艺术价值.     

论《梧桐雨》中的意象——兼及杂剧意象的特征与功能

《梧桐雨》是一部早期的元杂剧作品,作者的身份和所处的时代决定了它必然受到中国传统诗文的影响,而这种影响集中体现在作品对意象的大量使用上。但这些意象与传统的诗文又有区别,在形式上主要表现为意象的集中与整饬,在情感的表达上意在营造一种情景交融的戏剧效果,并通过意象的重复与强化构成整体上的象征意义。
