浅析对一人公司的立法规制

大多数国家和地区的公司法对形式一人公司都予以承认,但基于各个国家和地区的立法传统不同,对一人公司的承认模式不尽相同。我国于2005年修订的《公司法》对一人有限责任公司作了较为详细、具体的规定,从而将一人公司纳入法律的规制中。一人公司制度的引入,不仅反映我国市场经济发展和企业维持的迫切需求,也是对世界公司立法潮流的顺应。     

刍议一人公司为股东担保问题及其法律规制

我国虽于2005年修改《公司法》时引入了一人公司、公司担保制度,但未对一人公司为股东担保问题作任何规定,这便引起公众对此形成了多元化认识,并在一定程度上引起了理论分歧.我国现行立法在一人公司为股东担保问题上存在立法漏洞,但该行为的较强负外部性以及道德风险的客观存在又证成立法引入的必要性.立法应对一人公司为股东担保引入采取限制性允许模式,通过权能主体限定、一人公司债权人直接性保护机制以及强制性信息披露制度加以严格规制.     

我国公司借贷立法的检讨与思考

我国公司借贷相关立法中,存在着不同领域的立法相互矛盾、法律规则过于简单、立法内容不科学且与社会现实不相适应的问题。从平衡公司自治权和维护相关人利益的立法宗旨出发,我国公司借贷制度应采取有限制许可的立法模式,在公司法总则部分明确宣示公司有借贷的权利,同时在具体制度部分对公司借贷的资金、对象、期限、利率等设置必要限制,并通过建立＂小额借贷豁免＂、＂大额借贷登记备案＂以及上市公司＂大额借贷信息披露＂等制度加强对公司借贷的监管。在此基础上,还应健全公司借贷的法律责任体系,保障上述制度得以落实。     

一人公司对传统公司制度的挑战及立法规制

一人公司是一种特殊类型的公司,自其出现以来,对传统公司法人制度产生了极大的挑战,许多国家和地区通过法律规范对其进行规制。2006年生效的《中华人民共和国公司法》对一人公司做出了专门规定,该规定顺应了我国经济发展和世界立法潮流,但也存在着一些不足之处。     

一人公司制度的产生和立法初探

世界各国公司法，对一人公司的设立和存续均给予承认。2005年以前我国法律不承认一人公司。2005年10月27日第十届全国人大十八次会议通过的新《公司法》，允许设立一人有限贵任公司形式。本文通过对各国一人公司的立法研究，初步探讨了一人公司性质、特征、沿革，社会发展趋势，并对我国一人公司的立法进行分析，主张立法对一人公司予以肯定性同时，必须对一人公司进行严格规制。     

论一人公司的法律规制

2006年1月1日实施的新<公司法>对一人公司的确认,是本次<公司法>修改的一大亮点,也是我国公司法对一人公司制度的一大创新.但在之后的实践中也暴露出了我国新<公司法>中关于一人公司制度的一些弊端,本文主要从一人公司的起源、我国确立一人公司制度的意义及存在的不足几个方面进行了论述,并对一人公司法律规制提出了自己的设想,以期促进一人公司的良性发展,使其走上正确的轨道.

职工代表大会是职工参与企业经营管理、实行民主监督的重要机构和基本形式.但是随着我国现代企业制度的建立,尤其是公司制度确立并发展起来后,职代会的地位却日益衰弱,现行有关职代会制度的法律、法规已明显不能满足客观需要.本文拟结合职工代表大会的理论基础与实践,对我国现行有关立法作一评析,以期进一步加强和完善我国的职工代表大会制度.     

论一人公司之债权人利益法律保护

尽管我国新《公司法》确认了一人公司,并就如何规避一人公司的风险规定了具体制度,但个别条款还存在着缺陷,没有更好地兼顾到一人公司唯一股东和债权人的利益平衡。完善我国一人公司债权人利益法律保护制度,需要完善一人公司治理结构;设立专门的财务监督制度;完善一人公司法人人格否认制度。     

论我国新《公司法》中的股东派生诉讼制度

建立股东派生诉讼制度对于制约公司管理层滥用其管理权,平衡股东与董事之间的权利,保护中小股东权益,具有十分重要的意义.我国现行法律一直未明确确立这一制度,只是在司法实践中依公平原则受理和判处了几例派生诉讼案件.本文论述了派生诉讼的概念、性质和提起诉讼的前提条件,提出了一些在我国建立派生诉讼制度的立法意见.
