年薪制与股票期权制:基于激励效能的思考

国有企业的市场化改革 ,促进了国有企业领导从“政治化”到“经济化”的蚕变 ,对经营者需要建立与此相适应的“市场化”的激励机制。年薪制与股票期权制是很有生命力的“市场化”激励制度 ,二者就激励效能来说各有特点 ,年薪制具有很好的短期激励功能但不能克服短期化行为 ,股票期权制则有很好的长期激励功能。把这两种制度结合起来使用 ,将会起到事半功倍的效果。但是 ,我们不能过于迷信它们。这不仅因为这两个制度本身有其局限性 ,也因为我国的体制环境如国有产权主体到位、经营者人才市场发育、经营者人才储备等还远远不够。只有体制环境条件完备了 ,这两个制度的激励效能才能充分发挥出来。     

论不安抗辩权与预期违约

不安抗辩是大陆法上的概念,预期违约是英美法独有的制度,二者非常相似,都是在订约后履行前,一方发现另一方有不能履行的风险。但二者在适用范围以及法律救济等方面又有严格的区别,是各自独立的两种法律制度。
