由于资本信用制度及法律的不健全 ,我国公司并购处于初级阶段。针对实践中存在的公司并购法律未与国情相联系 ,缺乏操作性 ;法律规范缺乏系统性 ,存在法律漏洞 ;在争议管辖上尚无明确规定 ;外资并购法规不完善等问题 ,提出制定统一《公司并购法》 ,完善要约收购制度、外资并购上市公司的反垄断制度 ,强化民事赔偿制度等建议

藏传佛教在广大藏区历史悠久,影响广泛,它既有与构建和谐藏区相适应的因素,但也存在一些不相适应的问题,特别是藏传佛教事务管理中还存在一些突出问题,因此必须加强对藏传佛教事务的管理,以构建和谐稳定的藏区社会。     

关于建立我国的委托制度的思考

<正> 委托(又称委任)制度是一种民事法律制度,起源于罗马法。委任与代理的关系十分密切,但罗马法中还没有代理制度,一直到1896年颁布的德国民法典才建立了代理制度,将委任与代理严格区别开来,后来为大陆法系国家的立法普遍采纳。但至今仍有代理与委任混而不分的,如法国民法典及泰国民法典。我国《民法通则》对代理制度作了简要的规定,没有债和合同的具体规定,自然也没有对委托关系作出规定;我国经济合同法及其修改草案也无     

论我国经济犯罪刑罚体系的重构

以“依法从严打击经济犯罪”为指导,我国对经济犯罪的刑事立法取向上采取了重刑主义,但是“厉而不严”的刑罚体系以其超量的刑罚投入却无法达到预定的理想效果,昭示出了现行刑罚体系的无能为力。应采取民事、行政、刑事制裁相协调,编织一张严密的法网,废除死刑,慎用自由刑,扩大经济刑的适用,完善罚金刑的执行方式,增设限禁或剥夺业务活动的资格刑等方式,重构我国经济犯罪刑罚体系。     

试论我国的社区矫正

社区矫正是社会文明发展到一定历史阶段的必然产物,也是社会不断进步、刑事政策日趋理性化的重要标志,它对于提高罪犯改造质量,预防和减少重新犯罪,促使其顺利回归、适应、融入社会生活等方面具有重大意义。然而,这项具有划时代意义的刑罚制度的改革和创新在我国尚属起步阶段,势必有大量的理论和实践中的问题需要探索和研究。因此,应认真总结试点工作中的经验与不足,学习和借鉴国外的有益经验并结合我国实际,逐步建立起一套具有中国特色、符合现代化行刑理念的社区矫正制度。     

Examining the nexus between situational factors and job performance through the mediating role of work engagement and self-efficacy

The situational perspectives theory of job performance is a fundamental aspect of organizational and managerial psychology. Consequently, there is growing interest in conducting additional research to assess situational factors and job performance through the theoretical frameworks of social learning and social exchange theories, which are seldom applied in these domains. The data has been collected from 365 employees working in Pakistan Telecommunication Company Limited (PTCL). It was found that supervisor support stimulates job performance. It is also deduced that self-efficacy mediates the relationship while work engagement does not mediate the relationship between supervisor support and job performance. The situational perspectives theory of job performance provides a supportive framework for the development of PTCL employees. This work should be of interest in the area of situational factors and performance improvement. This study is one of the very few studies conducted to empirically assess the influence of situational factor on performance through the mediating role of work engagement and self-efficacy.     

走出“共犯与身份”的教义学迷思:“主从犯体系”下身份要素的再定位

我国"主从犯体系"不同于德日区分制体系,主要表现为作用分类法与分工分类法具有实质差异、主犯判断与正犯评价存在根本区别。在欠缺身份犯总则性规定的前提下,不宜直接运用德日区分制体系下的"共犯与身份"理论来解决相关问题,而应当对其进行中国语境的转化。据此,"违法的连带性"应转换为"违法的共同性","责任的个别化"应蜕变为对"不法程度"及责任要素的双重评价。故而,在"主从犯体系"下,身份的作用仅限于两点:一是在整体上或共同违法意义上作为犯罪构成要件,从而在非身份者与身份者实施的共同犯罪中,身份者未必都是主犯,也可以是从犯或胁从犯;二是在归责意义上,非身份者的责任在同等条件下相对于身份者会有所克减。
