董事会委员会与公司治理

董事会承担公司的重大决策和监督经理层的角色,但董事会作为会议体机关存在缺陷。董事会委员会的设立可以弥补董事会的缺陷,并有利于独立董事发挥作用。委员会的产生和权力的立法模式不同,美国的模式值得借鉴。典型的董事会委员会包括提名、薪酬和审计委员会,他们在实践中发挥重要作用。我国应当将委员会纳入公司法中,同时委员会制度以及公司治理的完善需要公司法和其他法律、证券交易所规则、公司治理准则、公司章程的协同努力。     

Oversight of the Executive in the Eastern Cape Province,South Africa

This paper examines legislative oversight of the Executive in the Eastern Cape Province, South Africa, since the divisions within the ANC in the run-up to the party's 2007 Polokwane conference. It explores the dynamics of oversight and experiences of MPLs of the governing and opposition parties and of legislators and senior officials of government. Importantly, it assesses the perception and confidence of citizens in rural communities in the oversight process of the Legislature. The paper argues that the factions within the ruling party have had remarkable impact on the oversight of the Executive in the Eastern Cape. Whilst a vital element of the legislative process in the Eastern Cape, oversight is weak and ineffective: ineffectual oversight intersects with citizen apathy in legislative and oversight processes in the province.     

两岸投资保障协议中争端解决条款的困境及其出路

争议解决条款是困扰两岸投资保障协议谈判的最重要的因素之一。争议解决机制的选择上的困境,不但体现在现行的国家之间的投资条约中的投资争议解决模式无法为两岸投资保障协议提供范式,而且体现在现行国内立法上的局限上。可行的途径是在区分不同主体之间的投资争端的基础上,寻求不同的解决方式。本文强烈建议充分发挥两岸经济合作框架协议设立的经济合作委员会的作用来解决相关投资争端,同时避免以政治化的方式利用现行的仲裁争端解决方式。     

完善人民监督员制度的构想——以日本检察审查会制度为借鉴

人民监督员制度是针对检察院直接受理的侦查案件而建立的一种社会监督制度。试点至今,成绩斐然,但亦暴露出制度设计上的缺陷。本文结合人民监督员制度运行的实践,借鉴日本检察审查会制度的经验,就完善人民监督员制度提出构想。     

全市工会调查研究工作的回顾与前瞻

天津工会近两年来,开展了多层次多角度全方位的调查研究,形成了一批具有引领示范作用和实践指导价值的调研成果。主要做法是：坚持思路引领;坚持完善制度;坚持健全组织。今后此项工作应进一步把握其正确方向;切实提高针对性与实效性;努力完善创新发展机制。

当前高校工会妇职工委员会在促进女教职员工发展方面存在诸多不足,主要体现在女教职员工的发展权得不到有效保障,促进女教职员工发展的举措落实也不得力。加大力度关注女教职员工的素质提升和职业发展,应成为工会女职工委员会的重点工作。     

United in diversity? Analysing behaviour expectations of the European Union as a non-state member of the OECD’s development assistance committee

The European Union (EU) frequently accentuates its position as the largest provider of Official Development Assistance (ODA). Together with the EU institutions, EU Member States represent 21 of the 30 members of the OECD’s Development Assistance Committee (DAC) that sets out rules and standards for what can be reported as ODA. Following the EU Treaty’s requirement for the EU to work together in international organisations, research has detected a tentative yet positive trend to this end in different international organisations (IOs). This article’s empirical analysis shows no such trend can be detected in the EU’s engagement in the DAC. Explanatory factors include divergent development cooperation approaches inside the EU, discrepancies between the established image of and everyday practice in the DAC, and the EU’s full DAC membership. The findings add to the literature on international organisation governance by exploring different behaviour expectations of non-state membership vis-à-vis that of states.     

Exit, voice, and loyalty in international organizations: US involvement in the League of Nations

Recent challenges to traditional international relations theory have questioned the nature of international organizations (IOs) as agents of powerful state-members and have examined various conduits through which non-state actors can voice their concerns. Yet little work has focused on participation in IOs when a powerful state’s official position contradicts the goals of actors within it. This article examines the archival record of American involvement in the League of Nations’ economic section to explore such a circumstance. I correct the prevailing historical view of American isolationism in the interwar period and argue that participation by advanced, industrial democracies can better be understood as combinations of exit, voice, and loyalty on the part of individual components of state and civil societies.

论我国缓刑制度的创新——初步的建议与设计

缓刑作为一种日益受到重视的监禁替代措施,已经成为现代国家使用频率最高的刑罚辅助手段之一。针对目前我国缓刑机构存在着形同虚设的情况,应该设立由中央财政支持的专门的缓刑委员会,探索建立缓刑听证制度,推行缓刑保证金制度,不断推动我国缓刑制度的完善与创新。
