农用运输车管理主体变更后的思考及对策

原有农用运输车管理体制存在的问题,导致了近年来农用运输车交通事故率大幅度上升的情况。目前,正值《道路交通安全法》的颁布实施,为加强农用运输车的管理,有必要采取一些行之有效的对策。     

Using Shields as Weapons: Third-Party Funding Assisting China-Related Arbitration under Belt and Road Investment

In the summer of 2017, Hong Kong became the first jurisdiction in China to codify formal financing arbitration and to make it clear that third-party funders with no legitimate interest in the disputes could be allowed to inject capital to support funded parties in arbitration cases. With the latest Code of Practice coming into effect in the spring 2019, Hong Kong is ready to guide the funders in detail on delivering investments into the arbitral procedures in the harbor seat. By examining these legislative processes in Hong Kong, it can be proved that financing arbitration will enable enterprises to dispose of their disputes with easier access to justice, promote the quality and efficiency of dispute resolution, and improve the welfare of society as a whole. Therefore, it is justifiable to adopt third-party funding in China-related arbitration to promote the Chinese mainland’s arbitration practices and support the international proceedings involving Chinese parties, particularly the international ones arising from investments related to the Belt and Road Initiative.     

Gender Equality in China’s Overseas Investment: Case Studies on Chinese Textile and Apparel Enterprises in Vietnam,Myanmar, and Bangladesh

With the progressive implementation of the Belt and Road Initiative, the Chinese textile and apparel sector has extended investments in many Southeast Asian countries, of which Vietnam, Myanmar, and Bangladesh are the most prominent examples. Furthermore, the impacts of Chinese-invested textile and apparel companies on local female workers have become more important and pervasive. This paper uses data accumulated in a survey project conducted in 20 Chinese-invested textile and apparel enterprises to present the on-site situation of gender equality performance in Chinese textile and apparel investment in these three countries. It finds that, despite quick progress and sporadic good practice, Chinese textile and apparel enterprises face challenges in gender equality at both the policy and practice levels. It concludes that gender equality is critical for China’s responsible overseas investment and local social development, and Chinese enterprises must go beyond legal compliance in dealing with gender equality. In so doing, they must realize that awareness raising and gender-sensitive management mechanisms must be the core and long-term measures to address gender equality challenges.

试论我国关于公司转投资主体的法律限制

公司进行转投资是公司法人实现其自身目的的重要手段,然而我国现有公司法律法规存在着诸多有关公司转投资主体的限制,包括对内外资公司的转投资主体作出了区别规定的歧视性限制,以及对投资公司、控股公司等存在着立法缺口以至于无法正确适用的限制等。然而,从内外环境来看,此诸多限制已越来越不合时宜。从内部环境来看,我国的市场经济逐步建立起来,要求市场主体具有平等的地位;从外部环境来看,我国已加入WTO,WTO协议要求我们给予外资公司以国民待遇,同时要求我国法律在立法和实施过程中严格遵循透明度原则。试图对我国关于公司转投资主体的法律限制及其不足与对策进行初步探讨和分析,以期对我国公司法等相关法律的修改提供些许参考。     

论中国海外投资立法的路径和体系

中国海外投资立法至今还没有引起学者和立法工作者的足够注意,表现出相关立法严重滞后、监管立法欠科学、立法层次较低和透明度不高等诸多问题,影响了中国海外投资实践的发展.我们应该建立国务院直属的海外投资管理委员会,全面负责海外投资管理和立法起草工作,选择"先单行法,后基本法"、"单行法和基本并行"的立法路径,确立有利于本国经济发展、国际化战略、国家经济安全等四项立法原则,构建以海外投资法为基本法,以海外投资监管、保险和援助立法为单行法的法律体系.     

三农问题的宪法学思考

由于不能解决地方机构臃肿、地方政府腐败和滥权以及地方财政困境,取消农业税的税制改革难以应对“税费反弹”现象,仅仅是暂时缓解农民负担的权宜之计,并不是解决“三农”问题的长久之道。从宪法学角度看,“三农”问题的解决,有赖于完善地方民主与法治,从以行政为主导的中央控制模式转向以司法为主导的权利保障模式。中央干预的目的不在于亲自解决十分具体的问题,而应指向提供解决问题的制度。     

Survival at the Intersection of Government and Business: The Unique Case of the Australian Trade and Investment Commission (Austrade)

The Australian Trade and Investment Commission (Austrade) is a government organization whose responsibility is to promote Australian exports and investment facilitation in global markets. It has a unique position of being a government agency and at the same time working alongside and with business in assisting exporters enter overseas markets. This relationship is often strained both for reasons of changing government preferences in terms of assisting exporters as well as pressures on the government budgets. Yet Austrade has been able to remain a steadfast intersection between government and business despite the competing strategies of its two main stakeholders – government and business. This paper assesses Austrade as a case of organizational survival maintaining its equilibrium through sound management and serendipity.
