Administrators as Deliberative Representatives: A Revised Public Service Role

We suggest a role for public administrators as deliberative representatives. The goal is to apply a re-conceptualization of representation within the context of public administration based on a literature review on the following concepts: 1) representative democracy, (2) representative bureaucracy, and (3) deliberative democracy. We find that dominant models of representative democracy are ill suited for ensuring the true interests of citizens and communities are met and that representative bureaucracy is not satisfactory to address the failings of representative democracy. Finding promise in deliberative democracy models, we consider how the re-conceptualization of representation for the administrative role might shape the advancement of public participation in order to enhance the quality of representation. Specifically, a fourth construction is defined to add to the list of three above: deliberative representation.     

Making Citizen Participation Work: The Challenging Search for New Forms of Local Democracy in The Netherlands

Governance theory shows that governments no longer operate as actors that take unilateral decisions but instead have to share power and influence with various other actors. There is also a large body of literature that shows a growing discontent with (local) democracy. These two trends lead various local governments to either reaffirm representative democracy, or to introduce elements of direct participatory democracy. In practice the combination of the two – representative and direct participatory democracy – can be problematic. This paper describes the experiences of Hoogeveen, a medium-sized municipality in the Netherlands with a far-reaching programme of direct participatory democracy. In Hoogeveen, local residents can decide on yearly budgets for their neighbourhood and become involved in the long-term planning of its development. The Hoogeveen case shows that direct participatory and representative democracy can be balanced with the help of (1) connecting arrangements, (2) professional connectors and (3) steady political support.

借鉴、剖析与完善--对人大代表质询权的再次关注

质询权是民意代表监督有关国家机关及其组成人员的一项权利,西方国家较早确立了质询制度,并使之在实践中发展.我国人大代表质询权最早规定在1954年宪法中,但时至今日,人大代表却并未充分行使过这一监督性权利.借鉴国外有益经验,完善质询权法律规定,以发挥质询的效能.     

中国股份公司法定代表人制度的存废

中国股份公司法定代表人制度在世界范围内很独特。从起源和定型过程上考察,可以发现它和中国传统的国有经济制度有密切的联系。依据对其中几个具体理论问题的分析以及对该制度目前运行实际效果的判断,笔者认为它已经不适应中国股份公司当前的发展和对现代化公司治理的要求,应予废除。基于以上结论,并借鉴德国对股份公司代表人制度的规定,笔者提出了对中国《公司法》相应内容的修改建议。

本文在分析大陆法系和英美法系公司代表制度法理的基础上,通过比较外国立法,指出我国法定代表人制度存在排除当事人的意思自治、造成董事之间事实上的不平等、影响公司的运作效率和缺乏有效监控机制等缺陷,并提出实行“董事会代表与意定代表并存,意定代表优先”的制度、明确公司代表人权责、加强对代表人行为的监督等立法建议,以完善我国公司代表人制度。
