有限合伙基金中的安全港条款作为有限责任保护的特殊制度本应成为有限合伙人恪守的底线。但是,由于我国现阶段有限合伙基金的发展的独特个性,安全港条款并未很好的在我国的实践中开花结果。在这一情况下,对于安全港条款从拓宽适用范围、建立刺破合伙人面纱制度以及建立相应的执业保险等角度出发进行重新构建成为必要。有限合秋人对于管理权的干涉极易导致有限责任之否认,安全港条款的重构,无疑会大大降低有限合伙人管理基金的风险。也有利于基金的稳定运行。  相似文献

Public–private partnerships are a potentially important means of conducting pro-poor agricultural research in many developing countries. Yet within the international agricultural research sector, there are few examples of successful collaboration that have contributed to food security, poverty reduction or agricultural development. This study hypothesizes that partnerships between public research agencies and private, multinational firms are constrained by fundamentally different incentive structures; prohibitive costs, both direct and indirect; mutually negative perceptions between the sectors; and high levels of competition and risk associated with valuable assets and resources. Based on a survey of key stakeholders and a review of the literature, findings suggest that the primary impediments to partnership are perceptions, competition and risk, while issues of costs and conflicting incentives are secondary. These findings suggest that investment in innovative organizational mechanisms and supportive public policies could facilitate more, and more successful, public–private partnerships in pro-poor agricultural research.  相似文献

《合同法》第58条设计的合同无效返还财产的处理规则,适用于具有对价性的合同;而合伙协议属于具有共同经营同一事业性质的合同,合伙人之间的权利义务并不具有对应性。因此,合伙协议无效时,一般合同无效的溯及效力与财产返还效力并不当然适用于它,其具有复杂的法律状态。应当区分合伙事业是否开展以及强调合伙本身的组织性,返还主体的特殊性来处理此类纠纷。  相似文献

Abstract

This article sets out to explore various aspects of current government policy in relation to children and families. In particular, it focuses on recent legislation in the fields of child care, child support, and young offenders, and current proposals to reform the law concerning divorce. In doing so, the article highlights apparent contradictions between policies which appear to take a coercive approach to the conduct of family life and parental obligations, and those which are more sympathetic and understanding towards parents. The article concludes that this contradiction makes sense only in the light of government preoccupations with making moral distinctions between ‘good’ and ‘bad’ parents. It goes on to ask whether policy could not better be built on a presumption that parents should be trusted to care for their children; some examples of practical policies arising from this assumption are suggested  相似文献

From the signing of the Oslo Peace Accords in September 2000 to the eruption of Al Aqsa intifada in September 2000, the international community allocated an estimated $20–25 million for people-to-people (P2P) projects. Since September 2000, almost all P2P projects came to a halt. Many people have asked why this had to happen? Why did the P2P projects cease to work when they were needed the most? Why did the P2P projects fail to produce the desired goals? How could P2P projects have greater impact? Why are some activities continuing, while others have ceased? This article will attempt to deal with these questions. It is based on a research project that involved Israeli and Palestinian non-governmental organizations (NGOs) and Civil Society institutions; Israeli, Palestinian, and international academics; and other expert conflict resolution and conflict prevention practitioners. A joint team of Israeli and Palestinian researchers was appointed to conduct a comprehensive assessment of the P2P process; two workshops were held to conduct subjective analyses of the P2P process from its start until today. An interactive web site was also produced, and some 40 interviews were conducted with initiators and implementers of P2P projects. We present here the findings of this study.  相似文献

20世纪后半期以来,有限责任发展的路径是向合伙企业的迅猛扩张,但在有限责任全面松绑的情况下,如何运用有限责任否认法理来保护债权人特别是非自愿性债权人却是个新问题。合伙企业有限责任否认分有限责任滥用与未滥用两种情况,但应注意:在有限责任未滥用的情况下,非自愿性债权人纯粹承受有限责任的负面价值极不公平,应在一定条件下否认有限责任;在有限责任滥用的情况下,适用法人人格否认的典型情形对合伙企业也不能简单适用,合伙企业的有限责任否认有自己的特殊之处。  相似文献

Using evidence‐based methods to help divorcing families requires the combined best efforts of legal professionals, courts, judges and administrators, mental health oriented service providers, and university researchers. Collaborative program development, implementation, and evaluation involve a complicated process of negotiation between professionals, yet this process is hardly ever described. The current article describes the processes we underwent in forging an alliance of researchers from Arizona State University's Prevention Research Center with professionals from the Maricopa County (Arizona) Family Court, a collaboration that involved a true dialogue and cooperation from the earliest stages and continuing throughout the project. A Community‐Based Participatory Research model was the underlying basis for our partnership; its lynchpin device was a Joint Planning Committee.  相似文献
