银行业关联交易法律监管问题研究

近年来对银行业跨行业经营问题有很多讨论,但对银行业关联交易应如何从法律上加以监管还鲜见详细论述。而不正当的关联交易将会给中小股东、债权人甚至给整个社会经济的发展带来不利的影响,如何完善法律加强对其监管是目前亟待解决的一个紧迫问题。     

论我国动产抵押登记制度的缺陷及其完善

我国《担保法》对动产抵押公示采取登记成立主义与登记对抗主义相结合的立法模式 ,但存在许多缺陷。应通过民法典的制定完善动产抵押登记制度 ,建立统一的登记对抗主义、统一登记机关 ,规范登记事项 ;并适当引入烙印或刻记、购物发票背书制度、财产目录表制度、公证制度、动产抵押查询系统等 ,形成多元化的动产抵押公示体系

绿色贸易壁垒的法律分析及应对策略

环境保护是WTO所关注的焦点问题之一。随着关税的降低以及传统的非关税壁垒的取消,一些发达国家利用WTO环境议题的漏洞,将贸易与环境两个问题联系在一起,在国际贸易中大肆推行绿色壁垒这种新的贸易保护主义。文章分析了WTO语境中绿色壁垒的形成原因及其表现形式,从法律的角度提出了我国应对发达国家绿色壁垒的对策。     

Trilateral trade relations among China,Japan and South Korea: Challenges and prospects of regional economic integration

China’s emergence as a global and regional manufacturing center has significant implications for the Northeast Asian economies of Japan and South Korea. China's trade with Japan and South Korea has been rapidly growing in relative importance, largely facilitated by China's rise as a regional production base as well as changes in the trade structures between China and her neighbours. Indeed, in recent years, China has been the main driving force behind Northeast Asian trade interdependency. The strong economic linkages and complementarities among China, Japan and South Korea augur well for the further integration among the three Northeast Asian countries. Establishing a trilateral free trade arrangement (FTA) provide new opportunities to enhance the three countries’ overall growth potential through trade and investment. However, such Northeast Asian regional integration is destined to be a long, drawn out process. The forging of a trilateral trading arrangement between China and her two neighbours remain a long term vision in view of the many outstanding issues and obstacles.     

入世后中国农产品对外贸易发展研究

作者在文中分析了中国农产品对外贸易的现状和入世对中国农产品对外贸易的影响，提出了入世后发展中国农产品对外贸易的对策，即提高优势农产品质量，培育龙头企业，改革农业管理体制。     

A Temporal Model of Negotiation Linkage Dynamics

This article explores negotiation linkage dynamics (how one negotiation influences or determines the process or outcome of another) by examining three bilateral trade treaty negotiations conducted by the governments of Australia, Singapore, and the U.S. from 2000 to 2004. After developing a temporal framework of negotiation linkage, the study examines how one negotiation can influence another negotiation when time is treated as an independent variable and negotiation process and outcome are treated as dependent variables. The study's findings can be used to help negotiation scholars and practitioners strategically manage the opportunities and challenges inherent in negotiation linkage dynamics. The study concludes with a proposed research agenda and a temporal enhancement of the negotiation paradigm.     

中西方保安业比较研究

由于观念、体制、机制等因素制约,中国当代保安业在行业发展历程、行业地位、社会人文环境、市场经济环境、法治环境、行业专业化程度、行业经营模式、队伍整体素质、行业风险保障机制等方面与西方国家存在不同之处,致使中国当代保安业发展缓慢,与西方国家的差距越来越大。为此,应破除垄断,并改革现行行业管理体制,从而为保安业发展创造良好环境。

论营业权入宪--比较宪法视野下的营业权

营业权是主体基于平等市场主体资格自由地、独立地从事以营利为目的的营业活动的权利。纵观各国宪法 ,在营业权的表达方式上 ,有自由权吸收方式、经济与财产自由包含方式、职业选择自由概括方式和营业自由表达方式等不同模式 ,在具体的立法体例上有宪法序言或总则宣示式、经济政策性原则条款式、公民基本权利条款列举式、总则宣示与公民权利列举相结合的模式等不同范式。因此 ,尽快把“营业权”(或“营业自由”)或视为公民的基本权利 ,或视为一项基本国策 ,或作为一项基本的经济原则 ,载入我国宪法 ,是今后宪法修改和人权保障的重要课题。
