中小企业私募债券监管法律制度研究

中小企业私募债券业务是解决中小企业融资难的一条新路径。中小企业私募债券市场存在着监管制度位阶过低、市场准入标准过高、投资者利益保护力度不足及应对市场风险措施不健全等方面的问题。应从市场准入、市场运行和市场退出三个层面,分别构建中小企业私募法律监管制度。     

法官对裁决的论证义务与公开义务

概念法学派认为,可以通过立法建立完美的法律体系,法官可以从中直接找到毫无疑义、无可争议的规则来解决具体案件。但法律的历史性决定了法律的不确定性,而这种不确定性,势必会使法律适用于具体案件中时产生疑义或者争议。作为裁判者,就有了对裁决理由加以论证的义务。这次新修订的民事诉讼法就对法官作出的判决书提出了新的要求,即不仅要公开判决的结果,还要在判决书中进一步说明判决的理由,明确了法官对裁决的论证义务。     

公民权利、政府公信、国家形象——"疫情"、"震情"和信息公开的三重价值

阜阳疫情、汶川地震,在《政府信息公开条例》正式施行的前后区间里,呈现出截然不同的信息传播效果。其信息公开展现出不同层面的重要作用:信息公开是对公民(受众)权利的最大认可和尊重;是政府形象的软传播;信息公开是向国际社会展示国家形象的重要途径,三者依次推进,展现了信息公开价值的三重维度。     

Information disclosure and environmental regulation: Green lights and gray areas

This research examines the potential of information disclosure for environmental regulation. The research attempts to answer questions of what impact information disclosure has on corporate environmental practices and what interferes with its effective use. A case study of Indonesia's pioneering informational environmental regulation reveals (i) both indirect (e.g. anticipation of external pressure) and direct (e.g. internal learning support) informational effects that enhance environmental awareness at the top management level and stimulate changes in production processes and (ii) detrimental effects of disclosed information that maintain or strengthen the extant power of regulated firms over environmental groups and local communities affected. Regulatory efforts can be leveraged by public disclosure of information regarding firms' environmental performance, especially where the state monitoring and enforcement capacities are weak. However, the introduction of policies of this kind without consideration of different market conditions and political and administrative culture may impede the effectiveness of this potentially useful regulatory method.     

政府应依法规范依职权信息公开——兼评"砒霜门"事件

政府信息公开是现代民主宪政国家的基石之一.其中,依职权信息公开是政府信息公开制度得以有效展开的首要内容.与其他行政活动相比,其违法或失范更易引发社会不公正,严重破坏政府公信力.建设阳光型政府应树立政府主动公开信息的意识,规范依职权信息公开制度的程序和实体内容,明确政府责任,建立行政救济制度.     

科学民主化:食品安全规制中的公众参与

如何提升政府应对风险、保障公众健康的能力成为学界与政策实务界的讨论热点。在食品、环境与健康领域的风险规制中,充分保障公共利益似乎尤为困难。因为多种情况之下,风险规制的依据是专家的科学知识,结果仍然会引起公众对于行政政策以及专家的不信任。对此,在行政决策中平衡科学与公众参与两种力量日益重要,即"科学"民主化的问题,既强调专家的作用,又要使之与公众交流沟通。科学民主化事实上是公众参与的制度化,关于这一问题的研究对中国行政法的发展意义重大。     

重特大自然灾害救助转化为公共事件的特点及应对

防止重特大自然灾害在救助中向公共事件转化,需要在注重其独特性的基础上,形成以基层政府为主导,社会团体和公众广泛参与的灾害救助体系;还需新闻媒体加强自律和他律,规范新闻发布和传播秩序;同时,还应建立和完善防灾救助的法律和制度。     

Using fire dynamics simulator to reconstruct a hydroelectric power plant fire accident

The location of the hydroelectric power plant poses a high risk to occupants seeking to escape in a fire accident. Calculating the heat release rate of transformer oil as 11.5 MW/m(2), the fire at the Taiwan Dajia-River hydroelectric power plant was reconstructed using the fire dynamics simulator (FDS). The variations at the escape route of the fire hazard factors temperature, radiant heat, carbon monoxide, and oxygen were collected during the simulation to verify the causes of the serious casualties resulting from the fire. The simulated safe escape time when taking temperature changes into account is about 236 sec, 155 sec for radiant heat changes, 260 sec for carbon monoxide changes, and 235-248 sec for oxygen changes. These escape times are far less than the actual escape time of 302 sec. The simulation thus demonstrated the urgent need to improve escape options for people escaping a hydroelectric power plant fire.     

论政府信息公开的“例外”

政府信息公开的例外是建立在政府公开信息为原则的基础之上的,它从反向界定和落实政府信息公开制度。确定例外的实质是协调公民知情权与其它重要法益之间的冲突,旨在有效地保障政府信息公开制度的运作。例外通常包括国家秘密、行政需要、商业机密和个人隐私等。行政复议、行政诉讼、特别救济是保障公民合法信息公开申请遭到拒绝的救济途径。     

印度《信息权利法》的实施及其启示

印度政府2005年实施的《信息权利法》是行政改革过程中的一个重要标志,对于提升政府治理水平具有重要作用,但是该法实施过程中还存在没有及时回应公众、缺少责任追究等问题。这些经验教训对于中国各级政府更好地依法行政、严格执行《政府信息公开条例》,深入推进行政体制改革具有一定启示意义。
