外资并购国有企业的法律思考

外资并购我国国有企业是当前企业并购中的热点。随着我国入世步伐的加快 ,妥善处理这一问题显得日益重要。本文通过分析外资并购国有企业存在的问题 ,提出了完善外资并购国有企业法律制度的设想。     

The Future of Northern Ireland: the Role of the Belfast/Good Friday Agreement Institutions

Since the 2016 Brexit referendum a series of crises has gripped Northern Ireland's politics. This has had a destabilising effect across society, which has arguably been felt most acutely by political unionism. The Belfast/Good Friday Agreement (B/GFA) of 1998 created a series of institutions to deal with political conflict in Northern Ireland, manage cross-border cooperation and normalise relations between the UK and Ireland. However, many aspects of it have been sparingly and ineffectually deployed, most notably the second and third strands dealing with north/south and east/west relations respectively. In this article, the authors argue that regular use of the institutional arrangements created by the Agreement would help to deal with the challenges currently facing Northern Ireland and help address unionist anxieties over the Protocol. Use of the North-South Ministerial Council (NSMC), the British Irish Council (BIC) and the British-Irish Intergovernmental Conference (BIIGC) should be prioritised. The unresolved issues arising from Brexit require a recommitment to the intergovernmental logic at the heart of the 1998 Agreement, despite the obstacles.     

Towards a New Ireland

Despite all the contemporary difficulties that we face on the island of Ireland, twenty-four years on from the signing of the Good Friday Agreement, there is a clear sense of hope for a better future. We should be optimistic for our shared future, even if we do not agree on what form that should take. We cannot discuss Northern Ireland or its future without acknowledging that Brexit has significantly shifted the conversation. Not only has it brought Anglo-Irish relations to a low not seen in the past twenty-five years, but it has also damaged the reputation of the UK internationally and brought the topic of Irish unity back to the fore of our political discourse.

当前,经济犯罪初查制度面临诸项瓶颈,原因是立案条件过高,初查难以达到证明标准;现有初查手段有限且受限制过多,难以应对经济犯罪初查的复杂形势;初查行为性质法律界定不明,讼争纷纭。故此,应对经济犯罪初查制度进行司法性改良;解构当前的程序顺位,重建经济犯罪初查制度;构建司法审查机制,重构经济犯罪初查的支撑体系。

俄格军事冲突是冷战后俄格矛盾的一次释放.透过这一事件,独联体建设的诸多问题凸显出来.独联体未来的命运成为人们关注的焦点,俄罗斯未来政策的转变将对此起决定性作用.为了使独联体这一组织形式更具吸引力和更具效力,俄罗斯有必要改变其对独联体国家关系的行为方式,加强独联体组织功能建设,健全联合治理机制,提供更多的公共物品,承担力所能及的责任.唯有如此,独联体组织机制的功能才会被激活,并最终有利于俄罗斯国家实力的全面提升.     

基于中医传承辅助系统分析王任之治疗中风后遗症用药经验

目的 应用中医传承辅助系统(V2.5)软件分析新安医家王任之治疗中风后遗症的用药经验。 方法 将收集整理的王任之治疗中风后遗症的处方,录入“中医传承辅助系统”,采用规则分析、改进互信息法等数据挖掘方法,分析其治疗中风的用药经验。 结果 王任之治疗中风后遗症常用的药物有黄芪、当归、干地龙、鸡血藤、红花、葛根、制豨莶草、炒怀牛膝等。常见的药物组合有：黄芪配伍当归、黄芪配伍干地龙、当归配伍干地龙、黄芪配伍当归和干地龙、鸡血藤配伍黄芪、红花配伍黄芪、红花配伍当归。 结论 王任之在鉴别诊断出血性中风和缺血性中风的基础上,首辨证候虚实,实证常用调气活血、熄风通络法,虚证则用益气活血和络法,多以益气活血、养血通络、补益肝肾药物组方。     

中国高水平参与DEPA的关键领域与路径选择

申请加入DEPA不仅是中国主动参与全球数字治理的“先手棋”,更是深化国内改革和高水平开放的关键决策,有助于中国加快构建新发展格局。为推动数字经济由产业创新驱动转向更多依赖技术创新、制度创新驱动的新阶段,中国可重点在数据流动、数字技术、数字产品、数字创新和网络安全五大领域主动对接DEPA协定要求;进一步地,系统化构建以数字自由贸易港为核心,以数字营商环境示范区为抓手、以数字经济产业先行区为重点、以数字经济国际合作区为纽带、以数字经济创新试验区为动能的“一港四区”格局,推动中国数字经济开放发展、创新发展。     

民国时期集体劳动合同立法述论 —— 以 1930 年《团体协约法》为中心

民国时期,通常将个别劳动合同称为劳动契约,而将集体劳动合同称为团体协约。中国劳工立 法较迟,团体协约立法则更晚。国民政府有关团体协约的立法最早可以追溯至 1929 年《劳动法典草案》的编纂, 其后在《工会法》起草过程中也有团体契约权的规定。延至 1930 年,国民政府正式颁行《团体协约法》,这是 中国历史上第一部有关集体劳动合同的专门法律。《团体协约法》的出台因应了当时中国工业化过程中劳资冲 突的实际需求,但也不可避免地存在历史局限。     

Modern Families,Modern Family Justice: Supporting Family Relationships in Fast‐Changing Socio‐Political‐Economic Climates (Summary of the Report of the Consultation at St George's House,Windsor, February 12–13, 2018)

This summary relates to the consultation held at St George's House, in Windsor, England, on February 2018. The attendees came from across Europe and from the United States, and they discussed a range of initiatives designed to address the challenges in modern family justice and the changes in the social, political, and economic environments that are impacting family life across the globe. Although the challenges are very similar, the approach to resolving them varies from jurisdiction to jurisdiction. The attendees concluded that there is much we can learn from each other, and that greater cooperation between family justice professionals across geographic boundaries would be highly beneficial.     

Toward Better Outcomes for Families Through Innovative Dispute Resolution Programs in England

This article explores and shares the learning from two of Cafcass’ innovative dispute resolution pilot programs. The programs aim to improve outcomes for families against the backdrop of rising private law demand in England, while keeping the child at the center. The Positive co‐Parenting Programme pilot provides a structured intervention to reduce conflict and promote timely resolution for children and families in complex cases. The Support with Making Child Arrangements pilot explores whether the provision of a package of support to parents ahead of the first court hearing can help them come to safe agreements about their children without the need for court intervention.
