略论国有资本运营与上市公司收购之制度价值

我国上市公司收购的勃兴 ,既有资本市场发展的内在要求 ,又有国家政策导向的外在因素 ,它体现为我国经济体制改革中对大企业集团及适宜的国有企业改革方案的追求 ,在某种意义上它标志着我国国有资本运营的战略调整。本文从国企改革的历史轨迹 ,论述了上市公司收购制度的建立 ,及其对促进国有资本有效运营的价值。

The physical competence test of the Dutch National Police: The effects of wearing a police uniform on test performance

ABSTRACT

In this study, we investigated the effects of wearing a police uniform and gear on officers’ performance during the Physical Competence Test (PCT) of the Dutch National Police. In a counterbalanced within-subjects design, twenty-seven police officers performed the PCT twice, once wearing sportswear and once wearing a police uniform. The results showed clear indications that wearing a police uniform influenced the performance on the PCT. Participants were on average 14 seconds slower in a police uniform than in sportswear. Furthermore, performing the test in uniform was accompanied by higher RPE-scores and total physiological load. It seems that wearing a police uniform during the test diminishes the discrepancy between physical fitness needed to pass the simulated police tasks in the PCT and the job-specific physical fitness that is required during daily police work. This suggests that wearing a police uniform during the test will increase the representativeness of the testing environment for the work field.     

证券纠纷特别代表人诉讼制度完善之法律思考

2020年7月23日,最高人民法院审判委员会第1808次会议通过的《最高人民法院关于证券纠纷代表人诉讼若干问题的规定》中将"特别代表人诉讼"以专章规定列出,引发各界的广泛关注。近年来证券纠纷问题层出不穷。例如案件甄别及程序决定混乱、投资者保护机构权力扩大、"一案一立、分别审理"观念根深蒂固等等。文章建议支持扩大人民法院庭前审查的项目类型和内容;引入"投资者代表",以"双保险"模式维护投资者权益,同时允许投资者进行"二次推选"代表人;个案认定应本山取土、因地制宜,针对差异选择适用一案一立、普通代表人诉讼制度和特别代表人诉讼制度中的一种或数种。     

马克思主义经典作家的代议制思想

Representative drug sampling: sample size calculations revisited

Calculating the required number of samples to be tested from a consignment of pills suspected of containing drugs can be performed from a Bayesian perspective. Procedures in literature are based on the outstanding work of Aitken. However, in the mathematical treatment of the problem, the limitedness of the consignment is not systematically used. The current Technical Note addresses this problem. A suitable prior distribution for the number of positive pills is derived, being a betabinomial distribution with the consignment size as one of the parameters. A hypergeometric likelihood is used, as sampling generally proceeds without replacement. The betabinomial posterior distribution is mathematically identical to the predictive distribution as reported elsewhere. The currently used large consignment approximation can be derived from the betabinomial posterior, but the quality is not optimal when compared to the exact betabinomial-based results. A new approximation is derived, with better properties, as illustrated in some examples.

政治制度本质上是一种关于利益和权利义务的关系组合。这种关系组合影响到人们对制度的合作或者冲突。因为观念和利益的多元化,社会成员与制度的冲突引发了高发的群体性事件。因此,解决当前公共治理问题,关键是要考虑体制改进。通过落实宪法所规定的人民代表大会制与民众直接参与式治理的结合,可以提升微观民主建设的质量,保障多元民主,为宏观民主治理提供制度基础。     

试论中国特色国际经济法学派的形成及其代表性成果

国际经济法学是一门新兴的边缘性学科,长期以来,以美国为首的西方国家的权威学者对本学科的开拓和研究多有建树。其中的新鲜知识,值得学习。但是,其中的某些关键性学术观点,却弥漫着或残留着浓烈的殖民主义、扩张主义、霸权主义气息,流毒全球,损害广大发展中国家弱势群体的国际平权地位和合法权益。陈安教授立足于中国国情和第三世界国际弱势群体的共同立场,独立思考,长期致力于探索和开拓具有中国特色的国际经济法学,投身国际争鸣,提出诸多开创性的新见解,为中国和国际社会弱势群体"依法仗义执言",提供维护其应有平等权益的法学理论武器,积30年之功,荟萃而成五卷本《陈安论国际经济法学》(310万字)这部鸿篇力作。学界认为,这部力作具有鲜明的中国特色和很高的学术水平,堪称"独树中华一帜,跻身国际前驱",可谓"一剑淬砺三十年"。该书的出版,标志着具有鲜明中国特色的国际经济法学派的初步形成。本文対贯穿全书的陈安教授的基本学术思想、学术理念和学术追求,加以梳理、概括和评介。
