论董事对公司民事责任的诉讼实现途径

董事对公司民事责任的诉讼追究是董事民事责任制度的重要组成部分,我国《公司法》对董事向公司承担民事责任作了较为详细的规定,但没有规定具体的董事民事责任诉讼实现方式。结合其他国家和我国台湾地区的立法规定与我国的实际情况,董事对公司承担民事责任的诉讼实现途径应当有三种形式,即公司直接提起诉讼、股东提起代表诉讼以及监事会代表公司提起诉讼,这样对规范董事的经营行为和维护公司的利益有重要意义。     

Federal Institutions and Multinational Investors: Federalism,Government Credibility,and Foreign Direct Investment

Political risk is an important factor in the decision to invest abroad. While the investment potential might be lucrative, there is always the risk that the host government will expropriate the profits and assets of the foreign investor. Political institutions, however, can serve as constraints on the actions of political actors in the host country. We argue that federal structures lower political risk. Joint-reputational accountability in overlapping political jurisdictions increases the likelihood that investment contracts will be honored. Empirical analyses of cross-sectional time-series data for 115 countries, from 1975–1995, are used to study how political institutions affect foreign direct investment (FDI) flows. After controlling for the effect of relevant economic and political variables, we find that both democratic and federal institutions help attract FDI, although the additive effect of democracy and federalism is small. This is not surprising; democratic systems already have low political risk; they do not need the additional credibility that the federal system provides to attract FDI. In contrast, we expect that federal structures significantly improve the trustworthiness of less democratic states. Empirically, we find that less democratic countries with federal political systems attract some of the highest levels of FDI.     

Follow the leader: testing a deductive approach for studying parliamentary party leadership roles

Parliamentary party group leaders (PPG leaders) are crucial – yet understudied – actors in modern representative democracies. Inspired by the literature on parliamentary roles, we test a deductive approach in order to explore the attitudes and behaviours of PPG leaders. Given their common duties, such as monitoring group members and securing party cohesion, we expect that PPG leaders across several countries would exhibit a common pattern that distinguishes them from other MPs. However, neither a common, nor a distinguished pattern of attitudes and behaviour is confirmed by our results based on Partirep MP Survey data. This, together with other theoretical difficulties, points us to the need to study PPG leaders’ roles by using in-depth single-country studies.     

Investigating perceptions of race and ethnic diversity among prospective police officers

Many have suggested police diversity will improve police-community relations, but research testing this hypothesis is inconclusive. We investigated perceptions of police race, ethnicity, and diversity in a heterogeneous sample of prospective police officers. Data are drawn from interviews with 42 criminal justice college students in the Southwestern United States, of which 15 were Hispanic, and who each wanted to become a police officer. Participants supported diversity in policing, and collectively expressed a belief that race plays a central role in policing today. Furthermore, participants expressed support for the ideals of both passive and active representative bureaucracy. Hispanics in the sample in particular anticipated they would positively affect police relations in Hispanic neighborhoods and encourage immigrants to cooperate with police.
