论新《公司法》股东代表诉讼法律适用及完善

股东代表诉讼制度在我国经过了逐步的探索,终于在新<公司法>中以法律的形式得到正式确立,其规定了原告股东资格、被告、适用的纠纷形态、诉讼前置程序等方面,但对于一些重要的法律适用问题,诸如公司的法律地位、诉讼费用补偿制度、原告股东的处分权等方面没有作出规定,还有一些规定不是很完善,缺乏可操作性.     

基于能力培养目标的党外代表人士培训模式初探

根据新世纪新阶段对党外代表人士的具体要求,加强能力培养,建立、完善能力培养体系,是当前各级社会主义学院培训工作中面临的共同课题.本文阐述了探索基于能力培养目标的党外代表人士培训模式的现实意义,并借鉴能力本位培训模式的理论和实践,围绕能力培养目标,从培训需求分析、培训目标确定、培训课程设计、培训方法选择、培训效果评估、培训师资配备、培训基地建设等七个方面对党外代表人士培训模式进行了初步探讨.

股权至上是美国传统企业治理结构的最显著特征。20世纪中后期以来,美国企业治理结构创新的基本趋势是物质资本投入者与人力资本投入者的权益配置双加强型模式对股权至上模式的替代。理解现代企业的双重依赖性则是理解这一创新趋势的关键之所在。我们应借鉴双加强型模式,完善我国的企业治理结构。

全国人民代表大会制度是我国民主政治的一项根本制度。但是,这一制度还存在民主基础不够的问题。比如,民主和平等的选举原则有待于深入贯彻,选民对代表不便进行有效监督,选民素质与民主选举要求有一定距离,选举制度的某些规定不科学、不完善,各级人大代表数量过多,影响人大职能的发挥,等等。

合作社治理结构是合作社制度中的重要方面,合作社事业的成功在很大程度上取决于其治理结构,作为商业组织之一的合作社应当在坚持基本制度特征的前提下,总结吸收现代市场经济中最成功的商业组织公司治理结构的经验,在内部构造社员大会、理事会、监事会并使其相互分权制衡的治理结构。     

Representative Bureaucracy: Examining the Effects of Female Teachers on Girls’ Education in Ghana

Scholars have examined representative bureaucracy as a viable means to make the bureaucracy more responsive to citizens in a democratic society. The theory argues that a diverse public service that mirrors the social demographics of its population in terms of gender, race, and ethnicity (passive representation) is more likely to be responsive to the needs of all citizens (active representation). Although a substantial body of empirical research exists, a comparative understanding of the theory is lacking in Africa. This study expands the empirical research on the theory to Ghana. It investigates whether passive representation of female teachers makes the education bureaucracy more responsive to girls. The analysis of a nationally representative data set on senior high schools (SHS) within the 216 districts of Ghana revealed that increasing the presence of female teachers is positively associated with the performance of girls on math and science exit exams.     

A genealogy of corporate governmentality in the realm of the ‘merchant-king’: the Netherlands Trading Company and the management of Dutch paupers

Abstract

The emergence of the modern corporation occurs at the same time as that of the modern state and liberal governmentality, although its role in the development of ‘bio-power’ has not been carefully examined. This article examines the royal use of corporations to manage the poor through work creation schemes and hence effect a capitalist transformation of the eastern Netherlands; specifically, the creation of the Dutch textile industry. These work creation schemes drew on the cameralistic ‘police sciences’ that Foucault cites in his genealogy of bio-power. This article traces the means by which cameralistic disciplinary techniques for the control of paupers were adopted by entrepreneurs who replaced Willem I, the ‘merchant-king’ as the ‘visible hand of the market’. It highlights the origins of managerialism in ‘social’ not ‘political economy’.     

法人与公司制度融合风险的法律控制——兼论实现国家公司公益性的法人制度支持

现代民法上的法人制度包含了为公司制度发展量身定做的"完人化"标准。公司制度借与法人制度融合获得了广义财产与基本权利,扭转了公司在传统社会组织身份格局中的不利地位,形成了对其他企业类型的制度竞争优势,但也带来巨大风险:公司异化为新身份格局中的"公司帝国"。法人制度在我国具有主要服务国有企业改革的功能狭隘性,加之官商传统潜移默化,产生了更为复杂的"官商公司帝国",妨碍了国有企业实现公共利益。针对性地而言,应祛除法人制度的极端功利主义成分,重建国有企业承载公共利益的法人制度支持。
