股东知情权及利润分配诉讼有关问题研究

股东知情权诉讼及利润分配诉讼是新《公司法》颁布后司法实践中遇到的重点、热点和难点问题。为了平衡公司与股东的利益,股东知情权及股东提起知情权诉讼都应当受到必要的限制,以避免股东滥用权利影响公司的正常经营。股东要求分配公司利润应当满足两个条件:一是公司有可分配利润,二是股东会或股东大会决议分红。在股权已经转让的情况下,原股东能否再要求公司分配利润则应当根据股权转让前公司是否决议分配利润来分别处理。

程序参与是诉讼主体理论在刑事诉讼中的贯彻与反映,是落实诉讼民主,维持诉讼结构平衡的现实需要。把握程序参与原则的内涵和实质要求并予以程序实现,也是管辖冲突的有效解决与管辖制度完善应予解决的问题。在管辖制度设置上应为当事人提供足够的程序参与机会,保证诉讼当事人及其代表对管辖事项的知情权,在管辖权确定过程中赋予诉讼当事人一定的异议权,在管辖权确定程序产生相关裁定或决定后,应该赋予诉讼当事人相关的救济途径。

侵犯商业秘密罪中的重大损失既包括直接损失,也包括间接损失。重大损失应限于物质损失,而不应包括因侵权而导致的荣誉、名誉的损失。重大损失与商业秘密的自身价值不能等同。认定侵犯商业秘密重大损失应综合考虑以权利人的损失、侵权人的获利或商业秘密的许可使用费进行计算。侵犯商业秘密罪是一种故意犯罪,其主观方面不应包括过失。侵犯商业秘密罪中的“应知”不同于刑法总则中的疏忽大意过失中对危害结果的“应当预见”,刑法分则中的“应知”是一种对犯罪对象的客观性预见,其应理解为“应可推为明知”,是一种推定故意的心理态度。     

我国消费者知情权受侵害原因浅析

消费者保护问题在世界范围内都得到了充分的关注,在消费者的各项权利中,消费者知情权是一项非常重要的权利。而不容乐观的是我国消费者知情权在现实社会中不时遭到侵害,我们可以从法律的角度对消费者知情权进行界定,分析它的含义、特征,并着重考察消费者知情权屡受侵害的原因,为进一步的保护提供前提探讨。     

Migration Pessimism and the Subjective Well‐Being of Migrant Households in Mexico

A new migration pessimism argues that the economic benefits of international labour migration for migrant households may not justify the social costs. This article provides a test of this argument based on the author's survey of 304 households in Jerez municipio (municipality), Zacatecas, Mexico, in 2009. The results indicate that active households (those with at least one migrant abroad) perceived their economic situation to have improved more, but both their social cohesion and their happiness to be less than those of non‐active households. Social cohesion (family unity and maintenance of values) is shown to be pivotal in the happiness differential enjoyed by the non‐active households.

To avoid this exploitation, The Securities and Exchange Commission should actively regulate decentralized exchanges where children purchase cryptocurrency, put age limit regulations into place, and require know your customer systems to verify that minors are not purchasing cryptocurrency without the consent of a guardian.     

The expanding role of expert psychological evaluations and testimony in Hague child abduction litigation

Hague Convention cases are a growing niche in forensic assessments. These cases focus on returning children, or preventing their return, after international abductions, by one of the parents, has occurred. This article focuses on the legal underpinnings of the Hague Abduction Convention, the “affirmative defenses” that may be invoked to prevent a return order, including “grave risk of harm,” “mature objection”, and the “well settled defense.” The article will also focus on the increasing roles that forensic evaluators play in these matters, the distinction between the role of forensic experts in custody proceedings and Hague cases, and the inherent limitations present in these unique kinds of evaluations.
