欧盟公司法改革评析

2001年以来,欧盟在管理方式、信息披露、公司监管、股东利益保护等方面对公司法进行了系统化的革新。这对从体系结构、公司监管以及股东利益保护等方面进一步完善我国公司法具有重要的借鉴意义。     

论公司越权行为原则

公司越权行为由绝对无效发展到相对无效,是基于法律对秩序价值的选择,也是公司作为市场主体对潜在利益追求的结果。我国公司法亦应同世界接轨,明确越权行为相对有效原则,同时逐步完善董事越权效力及责任的相关规定。     

论我国独立董事的独立性及其制度保障

独立董事的独立性体现在人格独立和经济独立。独立董事应当不受公司股东、其他董事、高级管理人员等人的影响和控制,基于职业道德和法律约束,着眼于公司长远利益,独立决策和判断。我国现行制度不能保障独立董事独立性,应围绕独立董事事务所的建立,革新独立董事的选任制度,从源头保证其独立性。建立独立董事履行职权的内部和外部支持体系,保障其可以独立、充分发挥职权。建立以监事会监督为主体、利益相关者监督为补充的对独立董事的监督制度,进一步保证独立董事的独立性。

限制董事经营责任法理的比较研究

2 0 0 2年 4月 1日开始实施的日本新商法中 ,有一个显著的特征是增加了限制公司董事经营责任的规定。这个被称为责任限制的制度 ,与上世纪 80年代中后期美国各州实施的限制董事责任之立法有着深厚的渊源。虽然受社会、经济、文化等因素的影响 ,两个国家的制度存在许多的不同之处 ,但都明确了一个理念 ,就是在强化董事民事赔偿责任的同时 ,也必须充分认识经营风险给公司发展所造成的负面影响 ,这值得我国在立法中加以借鉴。
