建立一种有效的合规计划,已经成为西方企业进行内部治理的重要方式。我们可以将合规管理与业务管理、财务管理视为当代公司治理的三大组成部分。但是,西方企业之所以在建立合规计划方面具有强大的动力,是因为合规在刑法上具有多重激励机制,也就是,建立有效的合规计划可以成为涉嫌犯罪的企业寻求不起诉、作出无罪抗辩、获得减免刑罚乃至与监管机构签署暂缓起诉协议的重要依据,企业由此可以最大限度地减少损失。也正是在这种刑法激励机制的作用下,西方律师业逐渐发展出来一种重要的合规业务,将独立的合规调查、对监管起诉的应对以及合规计划的打造作为这种业务的基本内容。只有将企业合规同时视为公司治理的手段、刑法上的激励机制以及律师协助企业防范法律风险的业务,才能对其形成一种完整的理解。  相似文献

This article investigates the impacts of democratic transition on gender outcomes in Hong Kong, which has a unique path of transition. The author studies whether democratic transition in Hong Kong since the mid-1980s has brought positive gender outcomes. Specifically, this article examines the extent to which Hong Kong’s female legislators acted for women’s interests from 1970 to 2012. The study finds that after the introduction of legislative elections, female legislators were more likely to represent women’s interests than male legislators. Apart from gender, the study also finds that political orientation of a legislator significantly affected legislator policy priorities and/or gender outcome. Liberal legislators proposed significantly more motions related to women’s interests than conservative legislators. Finally, the study highlights that as the legislature was transited from an undemocratic to a semi-democratic body, legislators were significantly more likely to propose motions related to women’s interests.  相似文献

随着股权分置改革的顺利进行,我国股票公开发行审核制度改革已被提上议程。但与实践的迫切需求不相适应的是,我国学界对于股票公开发行审核制度的研究尚处于一个不成熟的阶段,现有研究文献未能对我国股票公开发行审核制度的变迁予以有说服力的解释,因此,无法为决策者提供可资借鉴的改革方案或思路。运用交易费用理论框架,对中国股票公开发行审核制度的变迁过程进行梳理,识别出在审批制和核准制下政府为降低交易费用而选择的监管合约,剖析了这些监管合约的内容和选择的原因,并在此基础上对我国股票公开发行审核制度的改革方向及可行性予以分析。  相似文献

This paper applied time series analysis to examine the nexus between firearm robberies and homicide in Hong Kong Special Administrative Region (HK). Recent years have seen a reduction in firearm related offences in HK compared to Britain. For instance, only three cases of firearm robbery in 2004 in HK (0.1% of all robbery; 2,237 incidents) involved genuine firearms, compared to 4,117 firearm robbery incidents (4% of all robbery) in Britain in the same year. This paper established a cross-correlation coefficient of 0.50 at lag 0 for the annual rate of two serious crimes, genuine firearm robbery and homicide, after identifying an ARMA(1,0) model from each time series (1972–2002). The results suggest that the prevalence of firearm robbery is moderately associated with the prevalence of homicide in HK.

A theory-based evaluation of an in-progress program for the development of new youth centers the South of Italy is presented in this article. The study investigated if and to what extent the program was working to increase youth participation. Data were collected through document analysis of the program, in-depth interviews and a survey with the managers of the youth centers. Consistent with some previous study, results suggested that some program mechanisms related to cultural openings, obligations and opportunities of participation had been effective in the activation of youth participation. Some contextual factors behind such mechanisms were also taken into account. Then, the study confirmed the need to further develop forms of youth work able to mediate between the regulatory pressures expressed by public institutions and the claims of autonomy and participation manifested by youth.  相似文献

New Public Management (NPM) encourages private sector participation in the provision and delivery of public services through outsourcing. Bureaucrats and contractors assess the values, processes, and outcomes of contract management differently. This study adopts transaction cost economics (TCE), the resource-based view (RBV), and the principal–agent theory to analyze Hong Kong bureaucrats’ and contractors’ views on contract management. It finds that both groups are critical of the existing contract management system in Hong Kong. The study shows that the government’s neglect of the risks is causing transaction costs because it lacks a proper monitoring mechanism, two-way communication channels, and appropriate training, and because of contract complications and issues of accountability. There is insufficient proof to assert that the government purposefully conceals these risks, but they are not properly addressed.  相似文献
