论商法中的经理权

商法中的经理权主要存在两方面的功能,一是明确了经理人对企业的管理权,强化了企业的管理能力和竞争能力的功能,二是安全功能.我国<公司法>中规定的经理职权并不是商法意义上的经理权,在我国公司法中真正与经理权制度相似的制度,是法定代表人制度,但它不是一种典型的商事法律制度.与商法中的经理人(强调其对内的管理权和对外的缔约权,其追求的目标是满足商事企业在经营过程中的效率与安全)也不相适应.因此,设计一个全面清晰的商事经理权制度对于解决我国当前面临的企业改制的难题以及对我国现代企业制度的完善具有非常重要的意义.     

论通过宪法诉讼的权力制约路径

中国传统的权力制约机制因其不具有一种常规性的政治纠错功能而存在天然缺陷,宪法诉讼从表面上看虽然身处"反民主之困境",但基于二元民主理论、基本人权的价值取向及其所具有的权力动态平衡功能,是一条具有政治正当性的权力制约路径.     

对刑事侦查的司法审查之探究

对刑事侦查行为进行必要的司法审查是平衡诉讼格局、对侦查活动进行有效监督、合理分配侦查实施权和侦查监督权以及保障犯罪嫌疑人合法权利的必然要求.司法审查应由法院来实施,法院有权对侦查主体是否适格、证据是否合法、程序是否正当等进行审查.文章认为,实施对侦查活动的司法审查还有赖于对司法权力的合理配置、对检察机关职权和地位的再认识以及对法院体制和法官任用管理体制的改革,才能发挥出应有的效果.     

有限责任视野下公司内部人控制的合理性分析

内部人控制是现代公司制企业中普遍存在的现象,运用股东有限责任制度、公司独立人格制度和权利义务对等原理对内部人控制存在的原因进行分析发现,就公司权力配置的应然状态而言,内部人控制有其存在的制度空间、组织基础和法理依据,其作为经营管理层面上的控制权,存在于股东有限责任制度所构建的权利和利益平衡体系之中.

The Impact of Power and Civic Engagement in the Decentralized Management of Natural Resources: The Case of Turkey

Decentralization is an extensively discussed topic within academic and institutional circles worldwide. While a common argument for decentralization is that it fosters democratic deepening, counterarguments cautiously point to unequal access to resources and distribution of power as factors that inhibit democratization. This study contributes to the literature on the relationship between decentralization and democratization through a comparative study of Water User Associations in two provinces of Turkey and shows in line with the literature that resource and power inequalities hamper the link between decentralization and democratization. However, as this article shows, civic engagement can generate “countervailing power” that can overcome the negative impact of such inequalities. Copyright © 2017 John Wiley & Sons, Ltd.     

Innovation Agents in the Public Sector: Applying Champion and Promotor Theory to Explore Innovation in the Australian Public Service

Innovation is critical to organisational success and is a process steered, and potentially thwarted, by individuals. However, despite the importance of public sector innovation given the complexity of policy issues faced and the sector's specific contextual features, our understanding of innovation processes in government requires expansion. This study, using in‐depth case analyses of three Australian Public Service agencies, focuses on understanding the ‘human component’ of the innovation process by drawing on both innovation champion and promotor theories to explore, through the lens of organisational power, how multiple human agents progress public sector innovations. The results highlight the key, and often tandem, roles of individuals at multiple organisational levels who work to inspire and motivate others to progress an innovation (champions) and those with specific power bases who help overcome organisational barriers to innovation (promotors).     

警察执法权力的边界与私权维护

当前警察执法活动中存在着侵犯公民私权的现象,其中一个重要原因是执法者不能准确区分执法权的边界,造成越界执法,导致侵权。建设和谐社会与法制国家必须进一步规范和限制执法权力的运用,实现公权和私权的平衡与协调,在执法中树立以权利为本位的执法理念,明确公权与私权的边界,规范公权力行使,保障私人权益。     

Trumponomics and China-US Economic and Trade Relations

Since he took office,the new US president,Donald Trump,has unveiled his broad economic policy-now called Trumponomics.It emphasizes neoliberalism at home,less government regulations,more growth and weakening the welfare state.Internationally,Trumponomics embraces protectionism and nativism with a focus on US economic interests.Trumponomics caters to the lower-middle classes,a reflection of the country's current economic and diplomatic challenges.Trumponomics will bring uncertainty to China-US economic and trade relations.China should carefully study the policies of the Trump administration and prepare contingency plans.     

Light,dark and the powers that be: a hydroelectric project in Butembo

Despite its major importance in international trade, the city of Butembo in the North Kivu province of the Democratic Republic of Congo is deprived of such basic urban infrastructure as electricity. Private and public actors have attempted to bring power to the city, but their efforts have remained fruitless. Analysis of these failed projects to electrify the city offers a glimpse of local power relations. Why, rather than cooperating, do various local power holders counteract each other? Will gaining credit for bringing electric power to the city in turn yield political power over its future? With a special focus on a hydroelectric dam that was built but never functioned, this article sheds light on the way in which the citizens of Butembo relate to different bodies of authority. I argue that the hydroelectric dam gradually became a tool in a larger political strategy.
