上市股份公司股东权益保护的法律思考

现行公司法规定的内部管理机制,对于维护人数多且分散的上市股份公司股东的利益,还存在问题。如何促使公司管理层能忠实于公司和股东,公司立法还得进一步完善,以维护股东的利益,并保护人们的投资热情。

根据马克思在《资本论》中对商品价值和价值规律基本原理的描述,结合当今马克思主义学者的研究成果,可以建立马克思价值决定数学模型,应用此模型可以充分说明商品价格围绕商品价值变动的关系。     

Needs,welfare and the limits of associationalism

This paper presents a critical account of current associationalist proposals for welfare reform. It argues that contrary to the associationalists' own case, the institutional structure suggested by associationalism would not better provide for the needs of welfare recipients. After a detailed exposition of the fundamental claims of proponents of associational welfare, the paper challenger two of the key normative judgements that underlie the associational project. First, it criticizes the associationalist tendency to emphasize unregulated choice in welfare provision, arguing that such a settlement would ignore the important disinction between ‘needs’ and ‘preferences’. Second, it rejects the associationalists' acceptance of significant inequalities in welfare provision, suggesting that such inequlities would, almost by conceptual definition, leave many recipients' needs unfulfilled. The paper concludes by indicating that any proposed welfare reform intended to enhance provision for needs should be located within the current statist tradition.

能动司法是在借鉴西方司法制度与考察我国国情的基础上形成的一种司法理念。由于其在提高司法效能、促进司法正义等方面的特殊作用,已经受到我国法学界和实务界的高度重视。本文通过在理论推导、实践需求、价值取向等方面的研究,对践行具有中国特色的适度的能动司法进行探析。     

From the Agora to the Coffee-House: Heller's Quest for Philosophical Radicalism

Abstract

This paper considers Agnes Heller's attempt to construct a post Marxist radical philosophy. It examines the two main phases of this project: beginning with her late seventies A Radical Philosophy, it charts her development towards the position she now characterises as reflective post-modernism. It shows that despite a constant commitment to rational critique, Heller's concept of philosophical radicalism has shifted from an emphasis on total critique to that of maintaining balance between the rival technological and historical imaginations that exercise a ‘double-bind’ over the modern individual. The paper explains the rationale of this evolution, highlights the features of each phase and critically analyses their weaknesses. Finally it argues that Heller's contemporary position represents a sophisticated attempt to overcome the limitations of former left radicalism and address the continuing need for orientation in contemporary modernity.     

国内外社会参与程度与参与形式研究述评

当前的社会参与研究重点已转向社会参与的方法与技术。社会参与程度、不断创新的参与形式都属于参与方法和技术的研究范畴。对于社会参与的程度和形式的研究,国内外的学者已做出努力和贡献,但这与实现真正有效的参与目标仍有很大差距,有待学界的进一步探究。     

An Analysis on the Choice of Alpha Level in the Osteometric Pair‐matching of the Os Coxa,Scapula, and Clavicle

This study compares the use of 0.05 and 0.10 alpha levels with the updated osteometric pair‐matching model on two samples of the os coxa, scapula, and clavicle. The samples include the Forensic Data Bank, and the osteometric sorting reference used within the Defense POW/MIA Accounting Agency. Mixed‐effects two‐way analyses of variance were used to analyze bilateral asymmetry in the standard measurements. In total, 3,793,566 t‐tests were conducted for osteometric pair‐matching analysis. The results indicate high levels of exclusion power, and accuracy can be obtained with the os coxa and scapula. The clavicle standard measurements capture too much asymmetry causing a lower exclusion to accuracy ratio for osteometric pair‐matching relative to other elements. Both 0.05 and 0.10 alpha levels provide acceptable levels of performance. A lower alpha level will result in higher accuracy with less exclusion, and a higher alpha level will result in lower accuracy with more exclusions.     

Preventing Homelessness for System‐Involved Youth

Too many youth and young adults find themselves on the streets, couch‐surfing with friends, in emergency shelters or worse, after exiting the child welfare and juvenile justice systems. In some circumstances, youth have had court hearings until their exit from the legal system, but those hearings have not focused on long‐range plans of youth and emergencies youth may encounter. In other circumstances, there has been little or no planning prior to discharge, especially for young people who leave the juvenile justice system. Courts can and should prevent, alleviate or end youth homelessness for youth who appear before them through strategies that are enumerated in the recently‐passed NCJFCJ resolution. This article expounds on three of these strategies – coordinating transition and re‐entry plans, insisting on effective legal representation of youth, and utilizing sound judicial leadership. It also describes the concurrent efforts of the Coalition for Juvenile Justice and the American Bar Association's Homeless Youth Legal Network to remove legal barriers and improve outcomes for youth and young adults experiencing homelessness.
