The legal notion of an independent board member was introduced to the Mexican legislation in 2005. The goal was to improve the corporate governance of the corporations listed on the stock exchange. It was thought that including the independent board members would help to better represent the interest of the minority holders, as well as to increase the level of accountability. This article challenges these ideas based on 10 interviews carried out with independent board members. It finds that what the law says is far from what actuatly occurs: they lack of an adequate level of knowledge to perform their tasks, their degree of independence is severely limited by the criteria used to appoint them and they usually ignore essential corporate information, which impede them from participating effectively in the board sessions. The article suggests the creation of an independent board member’s association, a mechanism that, along with a mandatory certification system, would improve the way in which they perform their duties. 相似文献

The chaebol’s organisational culture was the target of much criticism when the Asian financial crisis hit the Korean economy in 1997. Despite much research on the topic over the past two decades, there continues to be a lack of consensus on the efficacy of reforms implemented since then. While some have focused on persisting patterns of paternalism, others have highlighted the structural changes implemented. This article revisits this debate by analysing the ways in which culture influences the implementation of structural reforms as a legitimating ideology. By analysing ethnographic data of a chaebol subsidiary in Beijing, the article demonstrates how cultural tropes of the company as a family and women as caretakers, popularised under the Park Chung Hee regime, have continued to shape perceptions of competence in the workplace. In particular, despite the crucial role that Korean Chinese employees have played in helping the chaebol penetrate Chinese markets, their bilingual and bicultural skills are devalued. Instead, the feminisation of their labour has justified their continuing marginalisation in the firm. 相似文献

This paper develops and tests a model that integrates processes of public affairs management with stakeholder engagement and dialogue, business ethics and social reporting to explain social responsibility capabilities in organisations. The model, called Corporate Social Responsibility Management Capacity, describes social responsiveness as arising from a firm's social responsibility orientation and its public relations orientation. Abstract Over the past 30 years, community development corporations (CDCs) have become increasingly important actors in low‐ and moderate‐income communities. One prominent view of CDCs is that they have experienced uninterrupted growth since the 1970s. Despite their growth and productivity, however, many are facing serious challenges to their continued viability. When confronted by such challenges, CDCs are likely to respond in one of three ways: go out of business, downsize, or merge with one or more other groups. The major goal of this research was to assess the causes of these failures, downsizings, and mergers. First, we found that these changes do not appear to be isolated instances; rather, they are prevalent across the country. Second, we identified a number of contextual and organizational factors leading to CDC failures, downsizings, and mergers. Finally we suggest a series of actions CDCs, support communities, and policy makers can take in response. 相似文献

Abstract In an increasingly integrated international economy, nation-states are, of themselves, no longer the prime containers or coordinators of political–economic activity. The extra-territoriality of states and the blurring of the boundaries between states and firms, for example, have been captured in analytical concepts such as ‘triangular diplomacy’ the ‘web of global interdependencies’ and ‘cosmopolitan democracy’. Such trends have become visible in what have been termed mega-urban regions or zones of economic integration or of graduated sovereignty. Moreover, such zones are held to illustrate non-traditional or cooperative inter-state relations. This paper utilizes Stopford and Strange's (1991) notion of ‘triangular diplomacy’ to interpret the development of one such zone – the Indonesia–Malaysia–Singapore growth triangle (IMS-GT). The paper argues that whilst embodying elements of cooperative inter-state relations the development of the IMS-GT also highlights the persistence of the ‘traditional’ concerns of inter-state relations. It also uses the notion of triangular diplomacy to draw attention to different models of social order sought by multinational enterprises (MNEs). 相似文献

Efficient state-led, market-driven intervention has been the hallmark of Singapore's success story but the exportability of state credibility, systemic efficiencies and local advantages into alien contexts is a matter of academic and political controversy. This article scrutinises Singapore's experience with outward investment in order to objectively examine the role of Temasek and of the government-linked corporations (GLCs). It uses the case of Temasek's investment in Thailand to reflect upon the economic and political impacts of the GLCs' global quest. It shows that resistance to Singaporean acquisitions reflects a combination of factors, including a general turn towards “economic nationalism,” attempts by other governments to replicate the city-state's state-led modernisation, and Temasek's and GLCs' underestimation of the risks that are germane to their international strategy. 相似文献
