Company Law and Corporate Governance Renewal in Transition Economies: The Bulgarian Dilemma

The main objective of company law and corporate governance structures is to provide rules and secure efficient functioning of decision-making mechanisms that maximise the value of enterprises and safeguard interests of various stakeholders. Company laws and corporate governance models in different countries have evolved in specific historical, cultural, market and legal conditions that prevent their direct transplantation elsewhere. Assessing available experiences, former centrally planned European economies, engaged in sweeping transformations, are challenged by the need to recreate a delicate balance between investor protection and business discretion of managers to work for corporate value maximisation and social welfare. This essay undertakes an explorative discussion on the possible choices and the costs and benefits related to principalagent problem resolution in economies in transition, with special emphasis on institutions and the case of Bulgaria.     

Monetary regimes,economic stability,and EU accession: Comparing Bulgaria and Romania

This paper traces the origins of the different monetary regimes adopted in Bulgaria and Romania in 1996–97 and examines their performance during the EU accession. The findings indicate that the constraints of the currency board in Bulgaria shifted economic activity towards the private sector, while the discretionary policies in Romania turned public finances into both a contributor and a response mechanism to economic imbalances. While the prospects of EU accession initially enhanced the performance of the monetary anchors, the implicit insurance of EU membership increased moral hazard and led to a rapid rise in private and public debt. The paper also explores the historical parallels between the monetary regimes of Bulgaria and Romania in 1996–97 and 1925–1940.     

Transposition and National-Level Resources: Introducing the Cross-Border Healthcare Directive in Eastern Europe

The Cross-Border Patients’ Rights Directive represents an attempt to resolve the unclear situation that had developed due to ‘negative integration’ within the field of healthcare. While the adoption of the directive ends the EU-level decision process, it represents the start of the implementation process, where national institutional structures and interests play a key role. This article investigates the role of resources as a key factor shaping transposition within the member states, with a focus on Poland and Bulgaria. The article shows that a multidimensional perspective of resources is important for understanding transposition of EU directives in member states. While previous research has tended to consider resources at the aggregate, national level, the present study shows that specific concerns about the ‘adjustment costs’ at the sector system level are of key importance.     

Unusual contact marks: connecting the hubcap to the wheel of the car

A case of homicide and attempted homicide is described. The comparison of tire-marks linked the suspect's vehicle to the scene of crime only with low certainty. However, the comparison of the pressure mark on the hubcap found at the scene, with the balance weight on one of the wheels of the suspect's car, connected the suspect to the scene of crime with high certainty.

This article argues that the new legitimacy of the Russian regime has a military-mobilization character; in order to maintain it the regime needs a deeper confrontation with the West and a dismantling of the residual elements of the electoral legitimacy. This shift also requires stronger reliance on the use of force.     

Social Security, Poverty and Economic Transition: An Analysis for Bulgaria 1992–96

The paper addresses the issues of poverty and social security in a transitional environment on the basis of recent economic developments in Bulgaria. Special emphasis is placed on the need for a new type of social safety net stemming from the radical changes in the political and economic system. The evolution of the social security system in Bulgaria during the transition is analysed focusing on such elements as the pension system, unemployment benefits, child allowances, etc. The empirical analysis is based on extensive use of data from the Bulgarian Household Budget Surveys during the period 1992–1996. Poverty in Bulgaria is measured using different poverty measurements and some quantitative results showing the changing dimensions of poverty in the transition period are presented and discussed in the paper.     

Membership in voluntary organizations and democratic performance: European post-Communist countries in comparative perspective

The article challenges the hypothesis that there is cohabitation of civic engagement and democratic institutions and practices. While valid at a general level, the relationship is not confirmed once it is scrutinized thoroughly and heterogeneous categories are disaggregated. For the European post-Communist cases, the pattern of the relationship between the regime type and the propensity to associate closely resembles the one in Latin mature democracies and non-authoritarian countries, provided that voluntary associations are chosen as measurements of vitality of social capital and robustness of civil society. A possible consequence of this provocative finding would be re-evaluating the well-established concepts in social sciences.     

Prospects for Change in the Systems of Price Formation,Finance and Credit in the USSR

The Chairman of the Interdepartmental Council on Problems of Price Formation of the Academy of Sciences of the USSR and Goskomtsen discusses prospects for change in the pricing and credit policies of the USSR. Distortions in current price levels, the need and objectives for the restructuring of the system and links between the price and financial reforms are explained. Strategies for change are to include price formation from marginal prices and modification of wholesale prices to encourage high technology. Specific proposals are advanced, in particular those pertaining to stabilization of prices, circulation of money and reorganization of the bank credit system.
