| 摘 要： | 在我国现实经济生活中,滥用公司独立人格行为时有发生,而公司人格否认制度可以有效地防范不法分子利用公司的合法形式和有限责任的特性逃避承担法定或约定的义务,从而维护了公司制度的健康发展。本文探讨了公司人格否认的涵义、构成要件及对滥用公司法人格行为的规制三个方面。

Theory about disregard of corporate per-sonality can prevent such things from happening and safeguard corporation's smooth development. The authors of the the-sis make a systematic study of the definition, constitution and restriction on piercing the corporation's veil. |
