| 摘 要： | 公司财产独立是股东承担有限责任的前提，在我国，公司财产独立法律责任偏重于运用行政责任和刑事责任手段，对民事责任手段不够重视。法律应建立权益博弈机制，确立民事责任优先原则，完善公司人格否认制度，充分调动债权人积极性，高效地解决该项“公司难题”。
