法人和非法人组织分类简论

借鉴发达国家立法体例和我国学者的研究成果,编纂中的中国民法典应将民商事主体分为自然人、法人和非法人组织三大类主体;按民商事组织本身是否能够独立承担民事责任分为法人和非法人组织;依据所从事业务活动的法律性质将法人分为企业法人和公益法人;依据所从事业务活动的法律性质将非法人组织分为营利非法人组织和公益非法人组织。

Classification Research on Corporations and Non-corporations

Learning from the legislation examples of some developed countries and absorbing the research fruits of ourselves' scholars, the under compiled Chinese civil code should divided the subject into three groups. According to whether or not could take the civil responsibility independently, the subject is divided into corporations and non-corporations. According to the legal essence of working action, the corporations could be divided into enterprises and common-wealth corporations, and the non-corporation also divided into the same two parts: the commercial and common-wealth.
