《公司法》修改若干问题的探讨

随着我国社会主义市场经济的不断发展,1993年制定的《公司法》已不可避免地存在诸多缺陷,为此,必须对其进行修改。本文就修改《公司法》面临的一人公司、股份回购、公司治理结构三个问题进行了探讨,提出了有针对性的修改意见。

Some Issues on Amendment of China's Companies Law

With the development of Chinese socialist market economy,Companies Law,which was enacted in 1993, inevitably appears to be problematic with a number of defects remaining undressed.Obviously the Law needs amending. The author explores the following three issues of law that the Law is required to resolve:one-person company,share re- purchase and corporate governance.Based on the exploration made,the essay puts forward pragmatic proposals aimed at amendment of the Companies Law of China.
