| 摘 要： | 在目标公司反收购制度的构建中,最主要的内容莫过于对目标公司中小股东利益的保护,而完善这项内容的核心所在就是对目标公司管理层行为的规制。从对管理层行为规制的理论来看,结合英美法关于此方面的立法和判例,针对我国的实际情况和证券市场的特点,不难看出我国有必要构建反收购制度。

| Abstract: | While contemplating a systematic anti-takeover of a target corporation,it should be a great concern to take measures of protecting the interest of those holding small or medium quantities of shares.The best way to achieve that goal is to regulate the managerial behaviors of the target corporations in anti-takeover. The body of article,beginning with the basic theories on this subject with reference to legislations and legal practice in England and America,explores the characters of the existing situation of the securities market in China,justifies the need of an anti-takeover system,and sets out propositions as to the regulation of managerial behaviors hereof. |
