| 摘 要： | 股东自治存在着契约不完备、信息不对称、外部性和机会主义式章程修改等缺陷，除了强制性规则以外，缺省性规则对此也可以发挥矫正作用。基于私法自治的理念，在因应股东自治的缺陷时，立法者应优先选择缺省性规则而非强制性规则。

| Abstract: | Incomplete contract,information asymmetry,externality and opportunistic charter amendments are the defects of shareholders autonomy.In addition to the mandatory rules,the default rules can also play an important role in regulating such deficiencies.Based on the concept of autonomy of private law,in response to the shortcomings of shareholders self-government,legislators should give priority to the selection of the default rule rather than the mandatory rules. |
