| 摘 要： | 建立外部董事制度,是进一步完善国有控股上市公司治理结构的一项重要举措.然而,有关外部董事的任职条件、选任、权利义务等,我国到目前为止还没有明确的法律规定.鉴此,本文从三个方面就国有控股上市公司外部董事制度进行全面的探讨.

However, as to the appointment of outside directors and the selection of rights and obligations, China has so far no clear legal requirement. This article gives a further study to the listed companies on the state-controlled system from the three aspects. |
