| 摘 要： | 股东派生诉讼是有效维护公司和小股东利益的一种间接诉讼方式。应该沿着“鼓励合法诉讼”与“阻却投机诉讼”的总体思路,对我国股东派生诉讼提出派生诉讼激励机制和制约机制相结合的制度设计方案。
