| 摘 要： | 有关关联企业的纠纷,中国现行的法律制度暂时没有办法解决,迫切需要对关联企业的法律问题进行立法。针对我国现行的法律匮乏的现状,笔者提出几点立法的建议:揭开公司的面纱;深石原则;利益补偿规则;实质合并规则;抬高从属公司的法定盈余公积金;向债权人提供担保。

| Abstract: | The article focuses on the benefit protection of affiliated company's creditors in theory and in practice. Although a lot of disputes arise, little law resolves this problem. We think some theories such as piercing the corporate veil; deep-rock theory; compensation; incorporation and so on should be fetched in legislation. |
