| 摘 要： | 公司法人人格否认制度是维护公司可持续运作的一项法律制度，但是司法适用中的实施效果不尽满意。构建我国完善的公司法人人格否认制度，应合理界定法人人格滥用行为，并从管辖法院、当事人、举证责任及执行程序的适用等方面进行规范。

| Abstract: | Disregard of corporate personality institution can make company operate constantly. The executive effect of this institution is not very well in justice practice. To construct well institution, the behavior abusing legal corporate personality should be bounded properly and regulated form the domination courts, parties, burden of proof and executive procedure. |
