| 摘 要： | 公司存在的直接价值和最终目的都是赢利,公司的赢利是依靠公司资本运行制度来实现的。我 国公司法在立法时忽视了资本的赢利功能,对资本运行作出了一些不合理的限制,降低了资本效率。我国公 司法中的资本构成制度、资本增加程序和条件制度、转投资制度、资本回购制度在立法中存在缺陷,需要完善。

| Abstract: | The direct value and ultimate goal of a company's existence are to make profits, which are realized by the company' s capital operation system. The function of profits won by capital was imposed some irrational limitations, and accordingly, capital' s efficiency has been lowered down. The thesis analyses the defaults that exist in the capital composition system, capital addition procedure and investment transformation system and capital rebuying system, and finally it discusses the ways to improve all the defaults. |
