| 摘 要： | 在商法与民法的关系问题的论战中,立法者应该从理论的泥沼中跳脱出来,以务实的精神,建构一种符合时宜的制度安排。而《商法通则》就是对社会需要最为可行的回应,它兼具合理性与可操作性。虽然其制定不可避免地会面临一些难题,但综合考量仍是商事基础立法的最佳选择。

| Abstract: | When some scholars are arguing about the relationship between commercial law and civil law, legislators had better not be restricted by theory disputation. They should choose a commercial legislation pattern which is suitable for Chinese practice. And that is to enact a General Rules of Commercial. Inevitably, there are some difficulties in enacting it, hut with reasonable and feasible natures, the General Rules of Commercial is synthetically considerated to be the best choice of constitution of commercial basic law |
