| 摘 要： | 商号因其承载着商业价值,出资是实现其价值利用的一种方式,在司法实践中商号出资现象逐渐增多.从理论上理清商号出资和企业名称转让之间的关系,界定商号权的性质以及商号出资的方式;在具体实务操作上解决商号变更、主体责任、商号估价等障碍,为商号出资建立健全相应的法律保障措施,是顺利实现商号出资的保障.

| Abstract: | Because of the trade name carrying commercial value, the investment is a way to realize the value of using, the trade name invested increases gradually in the judicial practice. Theoretically clarifying the relationship between the contribution with trade name and the business name transfer, defining the nature of trade name right and the way of trade name invested, on specific practical actions to solve the barriers on trade name change, main body responsibility, trade name estimate and so on, establish perfect corresponding law safeguard measure, are well fund- ed to achieve contribution with trade name. |
