| 摘 要： | 为充分利用土地为农民争取最大收益，我国部分地区实行农村土地承包经营权出资入股设立的方式，以此加大土地利用率，实现最大收益。但是由于我国未出台其他相关配套法规，因此在实践中会出现许多法律冲突。农业公司破产所带来的农民股东与债权人利益的冲突将是不可避免的，因此，应当在透彻分析农民股东与债权人利益冲突的基础上找出协调二者之间冲突的最佳方案。

| Abstract: | In order to make full use of the land and maximize farmers＇benefits, right to the contracted management of land can be set by the form of becoming shareholders by financial contributions in some areas in China. Owing to the lack of related laws and regulations, legal conflicts may occur in the above-mentioned practice. Among them the interest conflict between farmer shareholders and creditors which is caused by the bankruptcy of agricultural companies is one of the inevitable problems. This article aims to analyze the conflicts between farmer share- holders and creditors in order to find out the best way to solve them. |
