| 摘 要： | 在我国公司资本从一次足额缴纳规则向分期缴纳规则的演变中,考虑到公司经营的非静态化以及公司资产对外偿债能力的变动,可以说,分期缴纳规则是一个潜藏多重诉讼并涉及多方主体利益权衡的导火索。司法裁判对此应有一个新的起点来补充与完善。
